Vertex Pharmaceuticals Completes Acquisition of Crinetics for Approximately $10 Billion

Vertex Pharmaceuticals (VRTX) announced the successful completion of the acquisition of Crinetics Pharmaceuticals (CRNX). Vertex also announced the expansion of its executive leadership team. Vertex entered into a definitive agreement with Crinetics Pharmaceuticals, whereby Vertex would acquire Crinetics for a total equity value of approximately $10.0B, or approximately $8.8B net of estimated cash acquired, subject to certain closing conditions. The Crinetics acquisition adds to Vertex's innovation pipeline, accelerates revenue growth, and enhances the long-term earnings profile of the company. The acquisition brings Palsonify and atumelnant, in addition to several other pipeline programs. At peak, Palsonify and atumelnant have the potential to deliver more than $5B in combined annual revenue. The transaction is expected to become accretive to non-GAAP operating income in 2029.

AbCellera Collaborates with Vertex to Develop Multispecific T-Cell Engagers

AbCellera (ABCL) announced a collaboration with Vertex Pharmaceuticals Incorporated (VRTX) to research, develop, manufacture, and commercialize multispecific T-cell engagers, TCEs, for autoimmune diseases and other conditions. Under the terms of the agreement, AbCellera will leverage its proprietary TCE platform to lead discovery and early development activities. Vertex will fund all research and development costs and will have the right to develop and commercialize therapeutic multispecific antibodies resulting from the collaboration. AbCellera will receive $28M in total upfront payments and is eligible to receive preclinical, development, regulatory, and commercial milestone payments, along with tiered royalties on net sales. In addition, AbCellera and Vertex may mutually agree to have AbCellera perform cell line development, process development, and clinical manufacturing through Phase 1 for any program under the collaboration.
