TXNM Energy Seeks Partnership with Blackstone Infrastructure
"Increased retail load at both PNM and TNMP, including new all-time system peaks this summer, underscores the need for grid investment to support growing customer demand," said Don Tarry, President and CEO of TXNM Energy. "We continue to pursue approval for our agreement with Blackstone Infrastructure to assist us in meeting these needs along with providing significant benefits and protections to our customers and communities."
TXNM Energy and Blackstone Extend Merger Agreement to May 31, 2027
TXNM Energy and Blackstone Infrastructure have extended the terms of their merger agreement under which Blackstone Infrastructure will acquire the outstanding common stock of TXNM Energy. The termination date under the agreement has been extended to May 31, 2027, to allow for further time to obtain regulatory approvals. The transaction has received approval from the Public Utility Commission of Texas, the Federal Energy Regulatory Commission, the Federal Communications Commission and under the waiting period required by the Hart-Scott-Rodino Antitrust Improvements Act. TXNM Energy shareholders overwhelmingly approved the merger in August 2025. The transaction is pending regulatory approval from the Nuclear Regulatory Commission and the New Mexico Public Regulation Commission. The NMPRC procedural schedule has been paused, pending the filing and review of a report showing compliance with a Commission order involving a 2025 stock transaction between TXNM Energy and Blackstone Infrastructure.
TXNM Energy Partners with Blackstone Infrastructure to Support Growth
"PNM and TNMP continue to grow and we remain focused on meeting our customer needs across New Mexico and Texas, with TNMP supporting a 28% increase in system peak demand and PNM delivering 80% carbon free energy in 2025," said Don Tarry, President and CEO of TXNM Energy. "Our proposed transaction with Blackstone Infrastructure will provide the necessary capital to support this growth and New Mexico's transition to clean energy. We look forward to bringing the benefits of this transaction to our customers and communities."

She's got no talent or skills - Purely a political hack! HER POWER IS GONE, AND WILL NEVER BE BACK. How much is she being paid, and for what??? Thank you for your attention to this matter. President DJT" 3) Honeywell (HON) is thinking of walking away from its acquisition of Johnson Matthey's Catalyst Technologies business, Aaron Kirchfeld and Liana Baker of Bloomberg reports, citing people familiar with the matter. The final decision is set to be made in the coming days, the sources added. 4) Rolls-Royce (RYCEY) is expected to announce a new buyback program worth as much as EUR 1.5B, Mark Kleinman of Sky News reports. 5) The Federal Energy Regulatory Commission authorized the application for TXNM Energy (TXNM) to be acquired by Blackstone Infrastructure (BX). The order states FERC finds the transaction consistent with the public interest.
FERC Approves Blackstone's Acquisition of TXNM Energy
The Federal Energy Regulatory Commission authorized the application for TXNM Energy (TXNM) to be acquired by Blackstone Infrastructure (BX). The order states FERC finds the transaction consistent with the public interest. FERC concludes there is "no evidence that either state or federal regulation will be impaired by the proposed transaction", "no evidence that the proposed transaction will have an adverse effect on rates" and the proposed transaction will not have an adverse effect on horizontal or vertical competition. FERC rejected opposition based on data center ownership by Blackstone Infrastructure and affiliates and private equity ownership of public utilities, and relied on the adequacy of existing and committed state ring-fencing protections in New Mexico and Texas.
