ScanSource to Acquire MicroAge for $220.5 Million
ScanSource announced a definitive agreement to acquire MicroAge. MicroAge is an IT solutions integrator, managed services provider, and digital transformation partner, helping businesses design, implement, secure, manage, and optimize their IT environments. The acquisition strengthens ScanSource's reach into strategic growth technologies. MicroAge is expected to accelerate ScanSource's revenue growth and margin expansion opportunities. MicroAge serves a diversified U.S. client base of approximately 2,400 clients and has more than 200 associates. MicroAge's professional services and MSP offerings are available to support channel partners in unlocking new growth opportunities. Under the agreement, ScanSource will acquire MicroAge in an all-cash transaction for a purchase price of $220.5M, payable at closing. ScanSource expects to fund the acquisition through borrowings under its existing credit facility. The transaction is expected to be accretive to gross profit margin, adjusted EBITDA margin, and non-GAAP EPS in the first year following close, and is also expected to be free cash flow positive for ScanSource. The acquisition is expected to close in the quarter ending September 30, 2026, subject to regulatory approval and other customary closing conditions.
ScanSource Expands Partnership with HPE
ScanSource (SCSC) announced an expanded partnership with HP Enterprise (HPE), which includes HPE Juniper Networking, a leader in essential enterprise technology. The addition of the combined HPE Networking portfolio enhances ScanSource's ability to seamlessly connect networking and security solutions for partners, allowing for improved network performance, simplified operations and increased efficiency for their end users. ScanSource Launch Point will accelerate HPE's go-to-market efforts by offering tailored channel programs, marketing strategies, sales expertise and market-building capabilities. Additionally, it will provide HPE with unique opportunities to create new channels and drive demand through ScanSource's strategic combination of technology partners, including value-added resellers, advisors, managed service providers and independent software vendors. "As HPE Aruba Networking's first US distributor 19 years ago and a foundational channel partner, we have driven significant mutual growth together," said Mark Morgan, President, Specialty Technologies, ScanSource. "This next phase builds on that strong foundation.
