Powerlaw Announces 6% Annual Dividend Program for FY 2027
Powerlaw announced a series of corporate actions designed to continue to deliver stockholder value: The Fund's Board of Directors has approved an annual dividend program for the Fund's fiscal year 2027, which begins on October 1, and has declared the first three monthly dividends under the program. The Fund intends to declare and pay monthly dividends to stockholders at an annual rate of 6% based on the Fund's August 31, 2026 NAV of $16.23 per share, which translates into a monthly dividend equal to $0.0812 per share. For all stockholders of record as of October 20, 2026, the Fund intends to pay the first dividend on October 30. The Board of Directors may amend or terminate the dividend program at any time. In addition to the above monthly dividends, the Fund intends to declare required year-end tax distributions, if any, in December 2026 and pay them during the first quarter of 2027. To enhance market float and trading liquidity, the Fund has waived the remaining lock-up restrictions for non-affiliated stockholders. The strategic partial sale of the Fund's SpaceX shares to fund dividends, tax distributions, and new private-market investments, demonstrating the Fund's realize-and-reinvest model in action. The appointment of three senior professionals at Powerlaw Capital Group, strengthening capabilities across deal execution, corporate strategy, distribution channels, and investor relations.
Powerlaw Capital Files Registration for Second Fund
Powerlaw Capital has publicly filed a registration statement on Form N-2 with the U.S. Securities and Exchange Commission in connection with the proposed launch of its second registered fund. The filing follows the May 27th, 2026, direct listing of Powerlaw Corp., a closed-end fund designed to provide exposure to high-growth private technology companies through a single Nasdaq-listed security. The new fund is expected to be advised by Powerlaw Fund Adviser, LLC, and intends to apply to list as a publicly traded closed-end fund on a US securities exchange.
Powerlaw Authorizes 12-Month Share Repurchase Program
Powerlaw Board of Directors has authorized a 12-month share repurchase program. Under the repurchase program, Powerlaw Corp. may, but is not obligated to, purchase, through open market transactions, up to a total of 4,324,293 shares of its common stock, par value $0.001, which represents 10% of its outstanding common stock as of July 20, 2026. Purchases may only be made during periods when the Company's shares are trading at a 5% or greater discount to the Company's most recent publicly reported net asset value. Unless amended or extended by the Company's Board of Directors, the Company expects the repurchase program to be in place until the earlier of July 20, 2027, or until 4,324,293 shares of the Company's common stock have been repurchased.
Powerlaw Corp. Highlights Investments in Prometheus and Shield AI
Powerlaw Corp. highlighted its newest portfolio holdings, Prometheus and Shield AI, two companies at the center of the growing physical AI and autonomous defense systems categories. In addition, the company filed its latest Schedule of Investments as of June 30, 2026. "As the public markets prepare to celebrate the entry of pioneering AI leaders, we have been busy identifying the next cohort of generational AI companies, and believe Prometheus and Shield AI are part of that group," said Mike Dinsdale, CEO of Powerlaw Corp. "Prometheus and Shield AI reflect how significant value creation in today's most closely watched technology categories, physical AI and autonomous defense systems, continues to take place while companies remain private, limiting most investors from participating in that growth. At PWRL, we are on a mission to enable public investors to participate in the value creation that these future leaders are building in the historically exclusive private markets," continued Mr. Dinsdale.
Powerlaw Highlights Pre-IPO Investment in OpenAI
Powerlaw highlights its pre-IPO exposure to portfolio company OpenAI, which filed confidential paperwork for a potential initial public offering earlier this month. Recent reports indicate that the company may delay its IPO until 2027. "We backed OpenAI across three tranches starting in spring 2025," said Ben Black, CIO. "Since PWRL invested, OpenAI completed its recapitalization into OpenAI Group PBC, a public benefit corporation controlled by the nonprofit OpenAI Foundation, and based on media reports, let employees sell about $6.6B of stock at a $500B valuation, and then closed roughly $122B in primary capital, equating to an approximately $852B valuation, in a deal anchored by Amazon, NVIDIA, and SoftBank. Per media reports, OpenAI is now generating an estimated $2 billion in revenue per month with more than 900 million weekly users, with enterprise users already greater than 40% of revenue." OpenAI is one of the 18 high-growth private technology companies in the PWRL portfolio. The fund, which began trading on Nasdaq following a direct listing on May 27, 2026, invests across the sectors it believes are driving the next generation of innovation, including artificial intelligence, next-generation software, aerospace and defense, and consumer technology platforms.
