Navitas to Acquire Claros in $232.8M Deal
Navitas Semiconductor announced the signing of a definitive agreement to acquire Claros, a power management solutions company developing vertical power delivery and integrated voltage regulator technology for next-generation AI data centers, in a transaction valued at up to approximately $232.8M, based on the per share closing price of Navitas' stock on August 21, 2026. The acquisition, when completed, is expected to more than double Navitas' identified 2030 SAM to over $8B, adding at least $3.5 billion from the rapidly growing VPD and IVR markets. Combined with Navitas' existing $3.5B SAM for GaN and HV/UHV SiC and approximately $1B from new junction field-effect transistor technology, the acquisition is expected to significantly expand Navitas' opportunity across the complete grid-to-xPU power chain. Navitas' current short-to mid-term financial model and strategy, under its Navitas 2.0 transformation, remain unchanged. Claros' VPD and IVR technologies provide an additional growth accelerator from 2028/2029 onward alongside Navitas' strong organic 800V HVDC GaN and SiC growth in AI infrastructure. The company remains committed to its path toward profitability and does not expect a material change from its previous timeline. Under the terms of the definitive merger agreement, Navitas will acquire Claros in a transaction valued up to approximately $232.8M, comprised of approximately $216M to be paid at closing in a combination of cash and shares of the Company's Class A common stock, par value $0.0001 per share, and the remainder of which will be paid in shares of Common Stock on the achievement of certain business milestones during the two years following the closing date. The value of shares of Common Stock that comprise the merger consideration was determined based on the closing share price of a share of Common Stock on August 21, 2026, which was $12.97. In addition, certain continuing Claros employees will be eligible to receive performance based compensation under the Company's equity incentive plan, payable in shares of Common Stock, having a value of approximately $28.9M based on the Reference Price, and based on the achievement of these same business milestones. The transaction has been unanimously approved by the boards of directors of both companies and is expected to close before year-end, subject to customary closing conditions, including applicable regulatory approvals.
Navitas Files Patent Infringement Lawsuit Against Renesas
Navitas Semiconductor announced it filed a patent infringement lawsuit against Renesas in the United States District Court for the Eastern District of Texas. "Navitas is an early GaN innovator and leader that is successfully capitalizing on the substantial and growing market opportunity for high-powered solutions," said Navitas president and CEO Chris Allexandre. "We pioneered bringing GaN technology to scale. We've heavily invested in R&D in both GaN and high-voltage SiC and have protected our proprietary innovations through robust intellectual property. We respect valid intellectual property rights and we expect our competitors to do likewise." The lawsuit asserts that Renesas' major GaN product lines, including Renesas' SuperGaN power semiconductors, infringe Navitas' industry-leading gallium nitride patent portfolio, including U.S. Patent Nos. 9,929,079; 11,545,838; 11,770,010; and 11,862,996.
Navitas Q2 Revenue $10.53M Beats Expectations
Reports Q2 revenue $10.53M, consensus $9.97M. "Our strong second quarter results and expectations for continued double-digit quarterly growth in the second half of the year demonstrate the increasing traction of our strategic shift to Navitas 2.0 and focus exclusively on high-power markets," stated Chris Allexandre, President and CEO of Navitas. "With the rapid adoption of AI, we are seeing accelerated market demand to overcome critical power bottlenecks in AI infrastructure, both within AI data centers as well as the requisite grid and energy infrastructure needed to power them. By the end of the year, Navitas will complete its transition with revenue from mobile and low-end consumer being insignificant and nearly all sales coming from high-power markets."
Navitas Sees Q3 Gross Margin at 39.7%
Sees Q3 gross margin 39.7% +/- 100 basis points. Sees Q3 operating expenses $15.5M-$17.5M. The company said, "Underpinning our growing momentum is Navitas' unique ability to deliver high-power products with both GaN and high-voltage SiC technologies, enabling the distinct power requirements across AI infrastructure applications. We are seeing an expanding backlog, record level book-to-bill, and shipping volume production samples of our GaN and SiC-based solutions in support of multiple customer new program ramps. These production samples across GaN, HV SiC and UHV SiC include shipments in support of existing customer engagements for next-generation AI data centers targeting 800 V architectures. We expect selected hyperscalers and XPU platforms to ramp in 2027 as well as accelerated uptake of new grid infrastructure products. As we execute toward a series of inflection points that will drive explosive GaN and SiC content growth in years to come, we are confident in Navitas' ability to capitalize on the substantial and growing market opportunity for high-power solutions."
