New Fortress Energy Completes Restructuring Transaction, Extinguishes ~$5.7B Debt
New Fortress Energy completed its restructuring and recapitalization transaction in relation to the consensual UK Restructuring Plan between its subsidiaries and certain of their creditors. The UK RP was approved on June 18 and recognition of the UK RP was confirmed by the United States Bankruptcy Court for the Southern District of New York on June 26. The Company has now completed all steps, satisfied all conditions and obtained all necessary approvals in relation to the implementation of the UK RP and the Restructuring Effective Date occurred. As a result of the completion of the transaction, the Company's Brazilian business and operations have been separated to establish two distinct, standalone enterprises, BrazilCo and "New NFE". The transaction provided for the extinguishment of ~$5.7B of third party debt with Plan Creditors receiving: all of the equity of BrazilCo, preferred equity of "New NFE" with $2.45B of liquidation preference, 65% of the common equity of "New NFE" and ~$571.3M of "New NFE" Term Loans. Plan Creditors with claims against FLNG 2 also received preferred equity relating to, and Term Loans with limited recourse to, the FLNG 2 assets. "New NFE" also raised $136.5M of new financing that was funded on the Restructuring Effective Date.

According to a regulatory filing, Christopher S. Guinta announced to New Fortress Energy that he will resign from his role as Chief Financial Officer effective August 21, 2026. The company intends to commence a search process, including both internal and external candidates, to identify a new Chief Financial Officer.

New Fortress Energy Approved for UK Restructuring Plan
New Fortress Energy refers to its previous announcements in relation to the consensual UK Restructuring Plan between its subsidiaries, NFE Global Holdings and NFE Brazil Newco, and certain of their creditors. NFE announced that the UK RP has been approved at a hearing in the High Court of Justice of England and Wales before Mr. Justice Cawson, where the Plan Companies were granted an order sanctioning the UK RP, which are two inter-conditional restructuring plans proposed by each of the Plan Companies. The Sanction Order will shortly be filed with the Registrar of Companies and the UK RP will become effective in accordance with its terms. Plan Creditors showed overwhelming support for the UK RP at the meetings of Plan Creditors convened earlier this week on June 15, with 99% of Plan Creditors voting in favor of the UK RP and unanimous consent obtained in nearly all classes of Plan Creditors. A hearing before the United States Bankruptcy Court of the Southern District of New York to confirm the recognition of the UK RP will be held on June 26. The transactions contemplated by the UK RP are expected to be implemented by the third quarter of 2026, subject to the satisfaction of customary conditions and regulatory approvals.
