Lufax Adjusts ADS Ratio to 1:20

Lufax Holding announced that it plans to change the ratio of its ADSs to its ordinary shares, par value $0.00001 per share, from the current ADS Ratio of one ADS to two ordinary shares to a new ADS Ratio of one ADS to twenty ordinary shares. The Company anticipates that the change in the ADS Ratio will be effective on or about October 23. For Lufax's ADS holders, the change in the ADS Ratio will have the same effect as a one-for-ten reverse ADS split. On the Effective Date, registered holders of ADSs held in certificated form will be required to surrender their certificated ADSs to Citibank, as the depositary bank for Lufax's ADS program, for mandatory cancellation and will receive one new ADS in exchange for every ten existing ADSs then held and holders of ADSs in the Direct Registration System and in the Depository Trust Company will have their ADSs automatically exchanged and need not take any action. The exchange of every ten then-held ADSs for one new ADS will occur automatically, at the Effective Date, with the then-held ADSs being cancelled and new ADSs being issued by the Depositary Bank. As a result of the change in the ADS Ratio, the ADS trading price is expected to increase proportionally, although the Company can give no assurance that the ADS trading price after the change in the ADS Ratio will be equal to or greater than ten times the ADS trading price before the change.

Lufax Appoints Xiaodi Wang as Chief Compliance Officer

Lufax has appointed Ms. Xiaodi Wang as the Chief Compliance Officer of the company, with immediate effect. Xiaodi Wang joined Ping An Asset Management in September 2012 and currently serves as the general manager of the internal control and compliance department and board secretary. Prior to joining Ping An Asset Management, Wang had served as a compliance specialist at the compliance and internal audit department of AXA-SPDB Investment Managers from July 2009 to September 2012. She has served a specially appointed research fellow at the Lujiazui Institute of Financial Security since November 2024.
