Apollo and KKR Form Strategic Partnership Valuing Atlantic Aviation at Nearly $10B
Apollo (APO) and KKR (KKR) announced a strategic partnership to support the continued growth of Atlantic Aviation, one of the largest private aviation infrastructure platforms in the United States. Under the transaction, Apollo-managed fund have acquired a significant interest in the company, while KKR-managed funds remain a substantial shareholder. The transaction values Atlantic Aviation at nearly $10B.
Velocity Financial Acquires Toorak Capital Operating Platform for Approximately $3.2 Billion
Velocity Financial (VEL) announced a definitive agreement to acquire the operating platform of Toorak Capital, a business-purpose lending and asset management platform which is majority owned by funds advised by affiliates of KKR (KKR). Toorak has also entered into separate agreements with a third-party investment firm for the purchase of Toorak's existing portfolio of business-purpose loans totaling approximately $3B in unpaid principal balance across whole loans and loans held in Toorak Mortgage Trust and TRK Trust securitizations. In connection with the closing of the transactions, Velocity will also enter into an agreement with the third-party investment firm to manage the portfolio acquired from Toorak, as well as agreements to sell future Toorak loan production to the third-party investment firm and other counterparties. The total value of the platform and portfolio transactions is estimated at approximately $3.2B based on Toorak's consolidated balance sheet as of June 30, 2026.
Enbridge Forms C$2.7B Joint Venture with KKR
Enbridge (ENB) has entered into a definitive agreement with KKR (KKR) to form a new joint venture, subject to the satisfaction of customary closing conditions, led by capital accounts advised by KKR, in collaboration with funds and affiliates managed by Apollo. The joint venture will fund the previously sanctioned Aspen Point and Sunrise Expansion Programs of the Westcoast natural gas pipeline system. The Expansions have regulatory approval and are commercially underpinned by long-term take-or-pay contracts. Under the agreement, KKR and Apollo will invest approximately C$2.7B to fund the Expansions, including C$0.7B of cash to Enbridge at closing, in exchange for an indirect, cumulative 29% interest in the aggregate Westcoast system upon Sunrise entering service. The investors will begin receiving distributions as each expansion project enters service. The Aspen Point Expansion Program is expected to enter service in 2026, followed by the Sunrise Expansion Program, in late 2028. Enbridge will retain majority ownership and operational control over the Westcoast system, including responsibility for executing the Expansions. Enbridge also has the option to repurchase the investors' interest in the joint venture at any time between the seventh and fourteenth year following close. The transaction is not material to Enbridge's 2026 financial guidance or medium-term financial outlook.
SK Telecom Spins Off SK Broadband and Secures KRW 3.08T Investment from KKR
SK Telecom (SKM) announced that it will split its wholly owned subsidiary SK Broadband into a surviving company and a newly established company. In connection with the spinoff, SKT has entered into a definitive agreement with funds managed by KKR (KKR) and the IMM Investment-Stonebridge consortium for a combined KRW 3.08T equity investment in SK Horizon. The surviving company will focus on innovation in its fixed-line, media, and enterprise businesses, while the newly established company will aim to expand Korea's leading AI data center infrastructure. Based on the book value of net assets, the spin-off ratio has been set at 0.8351323 for the surviving company and 0.1648677 for the newly established company. SK Horizon will be responsible for expanding its infrastructure to a total capacity of 318 MW, encompassing eight data centers already in operation. As investors in the newly established company, KKR and the IMM consortium will provide capital to support SK Horizon's expansion as an AI data center infrastructure platform. Upon completion of all phases of the investment under the transaction, KKR and the IMM consortium will hold 29% and 20% stakes in SK Horizon, respectively, while SKT will retain management control as the largest shareholder with a 51% stake.
