James Hardie Sells European Operations for €840 Million

James Hardie (JHX) announced a strategic divestiture of its European operations to further align the Company's portfolio with its long-term growth strategy. The Company has entered into an agreement to sell its sustainable walling and flooring solutions business Fermacell in Europe, including the fermacell(R) and Aestuver(R) brands, to Holcim (HCMLY) for EUR 840 million, or currently approximately $980M, in cash. James Hardie also intends to close its European fiber cement business, subject to customary legal, regulatory and employee (including competent works council) consultation requirements. The transaction is expected to be accretive to margin profile and return on invested capital post-close. The Company intends to deploy the transaction proceeds to accelerate deleveraging and return capital to shareholders. Approximately $600 million is expected to be used to repay debt, accelerating the Company's progress toward its stated target of net leverage below 2.0x by September 30, 2027. In addition, James Hardie's Board of Directors has authorized a new $250 million share repurchase program. Repurchases may be effected through open-market purchases, accelerated share repurchases or other methods as determined by the Company, subject to market conditions and other relevant considerations. The transaction is expected to close in the first half of calendar 2027.

Boise Cascade Expands Partnership with James Hardie

Boise Cascade (BCC) and James Hardie Building Products, a wholly-owned subsidiary of James Hardie Industries (JHX), announced an expansion of their partnership under which Boise Cascade's Building Materials Distribution division will become the sole nationwide distributor of James Hardie's and its North American affiliates' complete portfolio of exterior building products through its extensive network of strategically located distribution facilities across the United States, effective July 31, 2026. Under the expanded agreement, Boise Cascade will distribute James Hardie's comprehensive portfolio of products - including Hardie siding and trim, and now adding AZEK trim and moulding and TimberTech decking and railing - through its nationwide network of distribution centers. As the two companies fully align their focus and resources, Boise Cascade will transition away from distributing competitive siding, trim, and exterior moulding products.

James Hardie Raises Q1 Adjusted EBITDA Outlook to $399M-$407M

Consensus $1.34B. Raises Q1 adjusted EBITDA view to $399M-$407M from $354M-$375M. Aaron Erter, CEO of James Hardie said, "Our first quarter results are expected to exceed our prior guidance, primarily as a result of better-than-expected sales in Siding & Trim. Siding & Trim net sales reflected strong sell-through and underlying demand for our products. Our performance in Deck, Rail & Accessories was driven by channel inventory normalization and sell-through that improved throughout the quarter. We are pleased with our fiscal first quarter preliminary results. We believe our performance reflects our team's execution and growth above market, rather than a meaningful improvement in the overall U.S. housing market. That said, we are encouraged by the positive traction from our initiatives to grow our fiber cement business, continued conversion in decking and the positive contribution from sales and cost synergies. We will provide an update on our full year guidance with our first quarter earnings call."
