Immatics N.V. to Sell 12,945,916 Shares at $8.69 Each

Immatics N.V. announced that it has agreed to sell 12,945,916 ordinary shares at $8.69 per share and, in lieu of ordinary shares to certain investors, pre-funded warrants to purchase 4,315,304 ordinary shares at a purchase price of $8.689 per pre-funded warrant, which represents the per share offering price less the $0.001 per share exercise price for each pre-funded warrant, in an underwritten offering. The gross proceeds from the offering, before deducting the underwriting discount and offering expenses, are expected to be $150 million. The offering is expected to close on August 26, 2026, subject to customary closing conditions. In addition, Immatics has granted the underwriters a 30-day option to purchase up to 2,589,184 additional shares at the public offering price, less the underwriting discount. Jefferies, Leerink Partners and Cantor are acting as joint book-running managers for the offering.

Stock Futures Weaken as Oil Prices and Treasury Yields Rise

Stock futures are pointing to a weaker open as fading hopes for a U.S.-Iran peace agreement push oil prices and Treasury yields higher. Brent crude is rising as the ceasefire between the U.S. and Iran comes under pressure, while the 30-year Treasury yield has climbed to around 5.33%, its highest level since 2007. The combination of higher oil and long-term yields is tightening financial conditions and making high-duration technology stocks particularly vulnerable.AI and semiconductor stocks are bearing the brunt of the selling. The weakness comes as investors reassess elevated valuations across the AI trade, with higher borrowing costs adding another headwind to companies whose valuations depend heavily on future growth.The retail sector is providing some support. Home Depot is gaining about 2% after reporting second-quarter sales above expectations, although the company said the housing market remains challenging. Investors will also look to Target and Walmart later this week for a clearer picture of consumer spending and the health of the U.S. consumer.The Federal Reserve's July meeting minutes, due Wednesday, are another catalyst. After the recent weak labor-market data and relatively benign inflation reports, investors have been looking for evidence that policymakers are becoming more comfortable with eventual rate cuts. Immatics Presents IMA401 Clinical Trial Data at ASCO Meeting

Immatics announced the presentation of extended data from the ongoing Phase 1 clinical trial evaluating its TCR bispecific candidate IMA401 targeting MAGEA4/8 in heavily pretreated patients with solid tumors, including head and neck cancer and lung cancer, in an oral presentation at the Annual Meeting of the American Society for Clinical Oncology, ASCO, in Chicago, IL, USA. Results from the Phase 1 study are being published simultaneously in Nature Medicine. Key data: IMA401 achieved deep and durable responses in various indications, including melanoma and head and neck cancer, with an initial promising clinical signal observed in lung cancer; In head and neck cancer, IMA401 treatment at recommended Phase 2 dose with or without pembrolizumab resulted in a 29% confirmed ORR, 64% DCR and mDOR of 8.8 months; all responders achieved deep responses with 60-100% tumor reduction; IMA401 MAGEA4/8 TCR bispecific demonstrated favorable tolerability at RP2D with or without pembrolizumab, suggesting its potential for broad combinability; IMA401 data will be presented in an oral presentation at the 2026 ASCO Annual Meeting and published simultaneously in Nature Medicine; The data support Immatics' strategy to combine IMA401 with IMA402 in lung cancer and potentially other indications, where the combined target prevalence supports broad patient coverage and potential synergistic activity; the IMA401/IMA402 combination cohort is now enrolling at multiple clinical trial sites, with first data expected in 2027
