Hancock Whitney completed the acquisition of OFB Bancshares, parent company of One Florida Bank. The transaction was announced on May 15. The systems conversion is expected to take place in the fourth quarter of 2026.

Reports Q2 revenue $407.36M, consensus $398.89M. "The second quarter of 2026 results reflect another quarter of strong performance," said John M. Hairston, President & CEO. "Our team delivered exceptional progress on our organic growth plan with loan growth of 10% and deposit growth of 8%, linked quarter annualized. We remained focused on our investment in revenue-generating activities, including hiring 15 net new bankers in the second quarter. Profitability remains solid with EPS of $1.55, ROA of 1.42%, an efficiency ratio of 55.31%, and continued fee income growth and well-controlled expenses. Our criticized loan levels decreased during the quarter and our ACL remains robust at 1.42%. We also announced the acquisition of One Florida Bank this quarter and expect to close the transaction on August 1. We look forward to the remainder of 2026 as we continue to execute our organic growth plan and welcome the One Florida Bank associates and clients to Hancock Whitney."
Hancock Whitney Receives Regulatory Approval for OFB Bancshares Acquisition
Hancock Whitney has received regulatory approval or confirmation of non-objection from the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation, and the Mississippi Department of Banking and Consumer Finance to complete its previously announced proposed acquisition of OFB Bancshares, parent company of One Florida Bank. In addition, at a special meeting, shareholders of OFB Bancshares approved the proposal to adopt the previously announced merger agreement providing for the proposed acquisition. The proposed acquisition was announced on May 15, 2026, is expected to close on or about August 1, 2026, and remains subject to the satisfaction of other customary closing conditions.
Hancock Whitney Acquires OFB Bancshares
Hancock Whitney, parent company of Hancock Whitney Bank, and OFB Bancshares, parent company of One Florida Bank, announced that they have entered into a definitive agreement whereby Hancock Whitney will acquire OFB Bancshares, in an all-cash transaction. One Florida Bank operates five financial centers in the greater Orlando, Florida, area and one in the Florida Panhandle. As of March 31, 2026, OFB Bancshares, on a consolidated basis, reported total assets of $2.1B, total loans of $1.7B, and total deposits of $1.9B. This acquisition will enhance Hancock Whitney Bank's existing financial center footprint by establishing meaningful market presence in the Orlando area. The transaction is expected to close in the third quarter of 2026 and is expected to be immediately accretive to GAAP EPS excluding one-time costs and meets or exceeds Hancock Whitney's minimum thresholds for Internal Rate of Return and Return on Invested Capital.
