H2O America Commences Public Offering of 6.5M Equity Units
H2O America announced that it has commenced an underwritten public offering of 6.5M equity units, subject to market and other conditions. Each equity unit will be issued in a stated amount of $50 and will initially be in the form of a corporate unit consisting of a contract to purchase the company's common stock in the future and a 1/20 undivided beneficial ownership interest in $1,000 principal amount of the company's remarketable senior notes due 2031. "Pursuant to the terms of the equity units, we expect to issue shares of the Company's common stock to holders on or about November 1, 2029. Before the issuance of the company's common stock upon settlement of the purchase contracts, the purchase contracts will be reflected in the company's diluted earnings per share calculations using the treasury stock method." The company intends to apply to list the corporate units on the Nasdaq Global Select Market and expects trading to commence within 30 days of the date of initial issuance. Wells Fargo Securities and J.P. Morgan are acting as joint book-running managers and as representatives of the underwriters for the Offering.
Company Provides 2026 Adjusted EPS Guidance of $2.91-$2.97
The company said, "With the close of the Quadvest acquisition on October 1, we are providing 2026 adjusted diluted EPS guidance of $2.91-$2.97, which incorporates the anticipated impacts of Quadvest and the pending Cibolo Valley acquisitions, including the financings thereof. We also affirm our non-linear, long-term adjusted diluted EPS CAGR target of 6-8%, anchored off of 2025's adjusted diluted EPS of $2.99. The long-term 6-8% CAGR target reflects a long-term, sustainable organic growth rate that is supported by elevated capital investment needs for decades to come and does not factor in any potential M&A opportunities beyond Quadvest and Cibolo Valley. Further, we continue to expect to deliver a non-linear adjusted diluted EPS CAGR at or above the top end of the 6-8% range over the 2026-30 period."
H2O America Reports Q3 Revenue of $250.23M
Reports Q3 revenue $250.23M, consensus $250.48M. "Our third quarter results have our company in position to deliver on our full year 2026 guidance and we remain committed to our longer-term financial targets," said chair and chief executive officer, Andrew Walters. "The close of the Quadvest acquisition earlier this month marked a significant milestone in our strategy to build a stronger, more diversified utility portfolio. The addition of Quadvest's active connections plus the anticipated build out of its development pipeline along with our more than $750 million of capital investments that we have planned through 2030 across the combined Texas Water Company enterprise means that Texas will be an increasingly meaningful driver of H2O America's long-term ability to provide sustainable value for all of our customers, communities and capital partners. Beyond Texas, I am incredibly proud of the progress that our teams have made with respect to the general rate cases in Connecticut and Maine as we pursue recovery of the more than $180 million of combined investments that are not yet recognized in rates as well as the preparations being made by our California team with respect to the upcoming 2028-30 GRC filing. I am so very grateful to lead a team of such dedicated partners as we work to execute on our operational, regulatory and financial growth goals while providing our customers and the communities that we are honored to serve with the high-quality service they deserve."
H2O America Completes Acquisition of Quadvest
H2O America announced that its regulated Texas water and wastewater utility, The Texas Water Company, Inc., along with its affiliate Texas Water Operation Services, LLC, have completed the acquisition of all assets owned by Quadvest. "This is a significant milestone in our strategy to build a stronger utility portfolio, with Quadvest's operations projected to deliver double-digit customer growth over the next several years in some of the country's fastest-growing counties," said Andrew F. Walters, chair of the H2O America board of directors and chief executive officer of H2O America.
H2O America Completes Acquisition of Cibolo Valley Wastewater Treatment Plant
H2O America announced that its regulated Texas water and wastewater utility, The Texas Water Company, has received the regulatory approval needed to complete its acquisition of the Cibolo Valley wastewater treatment plant and associated collection systems from South Central Water Company. The transaction is expected to close on November 1. The acquisition more than doubles TWC's wastewater connections within its existing Texas Hill Country footprint and creates opportunities for greater operational efficiency with a customer base already served by TWC's water service. "We look forward to adding the Cibolo Valley wastewater treatment plant and associated collection systems to our existing TWC operations as we continue to invest in critical infrastructure across our service footprint serving nearly 90,000 people," said Aundrea Williams, president, TWC. "Our local teams know these communities and their needs well, and we're committed to delivering high-quality, reliable water services our customers expect."
