Genesco Shareholders Re-elect Nine Directors

Genesco announced that, based on preliminary voting results provided by its proxy solicitor following the Company's 2026 Annual Meeting of Shareholders, Genesco shareholders have voted to re-elect all nine of its highly qualified director nominees - Gregory Sandfort, Mimi Vaughn, Joanna Barsh, Matt Bilunas, Carolyn Bojanowski, John Lambros, Thurgood Marshall, Jr., Angel Martinez, and Mary Meixelsperger - to the Company's Board of Directors. Genesco issued the following statement: "We greatly appreciate the strong support of Genesco's shareholders in electing all nine of the Company's directors, and the confidence they have shown in our Board, management team and Footwear First strategy to create shareholder value. We are advancing our four strategic growth drivers - curate and create winning product; elevate distinctive brands; create exceptional customer experiences; and build amazing teams. Our full focus is on continuing to build on the clear momentum our organization has underway. We are confident in our path forward and excited to capitalize on the opportunities we see ahead for our brands."

Genesco Shareholder Meeting Independent Advisors Recommend Supporting Management Nominees

Genesco announced that independent proxy advisory firms Institutional Shareholder Services recommends that shareholders vote for all nine of the company's directors on the white proxy card in connection with its upcoming 2026 Annual Meeting of Shareholders, which is scheduled to be held on July 21. In their report dated July 6, ISS stated, according to Genesco: "the dissidents have not made a compelling case for change. As such, support for all management nominees on the management card is warranted. Shareholders are also recommended to withhold votes from the dissidents' nominees, Ballard and Poskon."

Jumana Capital Rebuts Misleading Claims by Genesco

Bradley Radoff, Jumana Capital Investments and Christopher Martin, who collectively own approximately 9.1% of the outstanding shares of Genesco, released a rebuttal presentation spotlighting several "false and misleading" claims made in the Company's July 1, 2026 presentation. The Radoff-Jumana Group also issued the following statement: "Given the Board's latest manipulation of the facts, we once again call for Ms. Vaughn to be stripped of the Chair role. It is clear to us that there is zero accountability in the boardroom so long as Ms. Vaughn is calling the shots. In fact, the Board should promote Andrew Gray to CEO if Ms. Vaughn continues to waste shareholder resources in an attempt to mislead investors and maintain her grip on the Company - he is effectively already running the business as CEO of the profitable Journeys segment. We also urge the Company to conduct a Dutch tender offer for 1 million shares. The Company has excess cash, in our view, following its receipt of a $58.7M tax refund and anticipated $23-$25M tariff refund. With excess real estate, inventory and overhead costs, we demand all excess cash be returned to shareholders at the soonest possible opportunity."
