The Reverse Stock Split has been approved by the Company's shareholders and the Company's board of directors. Big Tree Cloud announced that it recently received two notification letters from Nasdaq. The Company received a notification letter from Nasdaq, based on Nasdaq's review of the company's Market Value of Listed Securities, or MVLS, for at least 30 consecutive business days from November 13, 2025 to December 26, 2025, the company's MVLS was below the required minimum of $50M. Pursuant to Nasdaq Listing Rule 5810, the company has been granted a 180-calendar-day compliance period, or until June 29, to regain compliance with the MVLS requirement. To regain compliance, the company's MVLS must close at $50M or more for a minimum of ten consecutive business days during the compliance period. The letter notifies the company of a deficiency but does not immediately affect its Nasdaq listing status. The company also received an additional notification letter from Nasdaq, based on Nasdaq's review of the company's Market Value of Publicly Held Shares, or MVPHS, for at least 30 consecutive business days from November 6, 2025 to December 30, 2025, the company's MVPHS was below the required minimum of $15M. Pursuant to Nasdaq Listing Rule 5810, the company has been granted a 180-calendar-day compliance period, or until June 29, 2026, to regain compliance with the MVPHS requirement. To regain compliance, the company's MVPHS must close at $15M or more for a minimum of ten consecutive business days during the compliance period. The letter notifies the company of a deficiency but does not immediately affect its Nasdaq listing status.
Big Tree Cloud Expands AI Business and Restructures Teams
Big Tree Cloud announced its expansion into new AI business lines and the appointment of key talents to support its long-term growth strategy. Due to business adjustments, the Company has decided to restructure the relevant teams. Yumao Huang has stepped down from the Board of Directors. Huang has served as a director of the Company since March 2024. His resignation is not a result of any disagreement with management of the Company or the Board, and there is no matter relating to his resignation that needs to be brought to the attention of the Company's shareholders. Xiaoxuan Zhu will serve as a director to the Board and Co-Chief Executive Officer of the Company, along with Wenquan Zhu. Hu Huang will serve as Director of the Technology Department of the AI Ecosystem Division. The Company has signed a strategic cooperation letter of intent with Canming Wang, an expert in AI technology, as part of its AI business planning.
