Collective Mining Offers Exploration Progress Report on Guayabales and San Antonio Projects

Collective Mining provided an exploration update and announce that visual inspection of new drill core from step-out drilling at the Guayabales Project's Ramp Zone and the San Antonio Project's Pound target indicates that potentially significant mineralization has been intersected. The Company has ten diamond drill rigs operating and remains on track to complete its recently revised forecast of approximately 60,000 metres of drilling in 2025. The Guayabales and San Antonio Projects are located approximately 3 kilometers apart on either side of the Pan American Highway in Caldas, Colombia and benefit from significant nearby infrastructure including hydropower access, skilled labor and roads. As a result of the recently closed financing, the Company is in a strong financial position with approximately $145M in its treasury and will be able to carry out all activities to advance its business plan, at least until the end of 2027.

Collective Mining issues comment rejecting allegations

Collective Mining issued a statement rejecting "all of the false and misleading allegations" made in a short thesis report published yesterday. The company claims the following: that since Collective was incorporated in 2020, the company has conducted its exploration activities on the Guayabales and San Antonio projects in full compliance with the Colombian legal framework governing mining and environmental activities. Specifically, that all work being conducted on its Apollo system within the Guayabales Project - including geological, geotechnical, hydrogeological, and metallurgical drilling - has been carried out responsibly and lawfully as the company assesses the technical and environmental feasibility of a potential future mining operation at Apollo. The company also announced that it has either purchased or entered into binding option agreements to purchase all of the surface rights covering the entirety of the known dimensions of the Apollo system and that the Apollo system does not overlap with any areas excluded from mining and, in fact, is located in a well-established mining camp, with ten permitted and operating mines within an approximate three-kilometer area. Finally, the company stated that two immaterial exploration applications have been temporarily put on hold by the authorities in accordance with common practice in Colombia in order to provide additional time for the mining authorities to request further environmental information from the company, and that these two exploration applications are not proximal to the Apollo system and are not material to the projects.

Collective Mining gets investment by Agnico Eagle for C$63.4M in gross proceeds

Collective Mining (CNL) announced that it has entered into an agreement with Agnico Eagle (AEM) pursuant to which Agnico Eagle has agreed to subscribe for 4,741,984 common shares in the capital of the company at a price of C$11.00 per share. Closing of the offering is conditional upon, among other things, Agnico Eagle concurrently exercising the common share purchase warrants of the company it currently holds to acquire an additional 2,250,000 shares at a price of C$5.01 per share. In total, between the offering and the exercise of the warrants, the company will receive gross proceeds of approximately $63.4M. At closing of the offering, Agnico Eagle's ownership interest in the shares is expected to increase to approximately 14.99%. The proceeds from the offering and exercise of the warrants are expected to be used for exploration on the company's properties in Colombia and for general working capital purposes. Closing of the offering is also subject to, among other things, the receipt of regulatory approvals, including approval of the Toronto Stock Exchange and acceptance by NYSE American, and is expected to close two business days following receipt of such approval.
