Vyome announces Nasdaq approval of merger with ReShape Lifesciences
Vyome Therapeutics announced that The Nasdaq Stock Market has approved its listing upon completion of the company's previously announced merger with ReShape Lifesciences, which is expected to take effect for marketplace purposes with the open of trading on Friday, August 15 under the name Vyome Holdings, Inc. and the trading symbol "HIND." "Nasdaq's approval is right on track and now we are marching forward to ring the bell on our planned listing date this Friday. ReShape announces shareholder approval of Vyome merger
ReShape Lifesciences announced that its shareholders have approved all of the proposals necessary to complete the previously announced merger with Vyome Therapeutics, which is expected to be effective for the commencement of trading on Friday, August 15, 2025. The shares of common stock of the combined company are expected to commence trading on The Nasdaq Capital Market under the name Vyome Holdings, Inc. and the trading symbol "HIND." "Vyome's vision is expansive with several promising assets and we are focused on building a healthcare platform spanning the US-India innovation corridor," said Krishna Gupta, Chairman of Vyome. "We look forward to trading as a public company under the meaningful ticker symbol "HIND", which we expect to be on India's Independence Day - August 15. ReShape Lifesciences granted U.S. patent related to Intragastric Balloon System
ReShape Lifesciences announced that on July 8, 2025 the U.S. Patent and Trademark Office, USPTO, will issue U.S. Patent 12,350,179, entitled, "Intragastric Device." The patent, related to the Company's application 18/241,151 and notice of allowance received in April, covers claims for an intragastric balloon system, comprising a swallowable capsule with a self-sealing fill valve and a degradable release valve designed to deflate and open the valve around three months after inflation with saline liquid, and configured for natural excretion after deflation, among other claim features. The patent will provide protection into at least January 2031, without accounting for a potential Patent Term Extension.
ReShape Lifesciences regains compliance with Nasdaq min stockholders equity
ReShape Lifesciences announced that on June 23, 2025, it received formal notice from The Nasdaq Stock Market indicating that the Company has regained compliance with Nasdaq's stockholders equity requirement set forth in Nasdaq Listing Rule 5550(b)(1) and otherwise satisfies all other applicable criteria for continued listing on The Nasdaq Capital Market. As a result, the listing matter has been closed.
ReShape announces heacount reduction, progress toward agreement completions
ReShape Lifesciences announced strategic headcount reduction and provided an update on the merger agreement with Vyome Therapeutics and asset purchase agreement with Biorad Medisys. "While we remain confident that the GLP-1 receptor agonists like Ozempic and Zepbound will have a very positive long-term impact on the broader obesity treatment landscape and that our marketing campaign will stabilize and ultimately accelerate the adoption of the Lap-Band system and Lap-Band 2.0 FLEX, we conducted a thorough review of our operating structure and made the difficult, but necessary, decision to reduce our workforce," said Paul Hickey, CEO. "This action, which will generate annualized savings of over $750,000, representing approximately 23% of our wage expenses, positions us to operate more efficiently while preserving our core capabilities. Importantly, our sales and marketing team remains fully intact. With this experienced team in place, we will continue to promote and generate qualified patient leads through targeted digital marketing campaigns on social media platforms. Additionally, we will focus on our international expansion efforts in Canada, via our distribution agreement with Liaison Medical, to launch the enhanced Lap-Band 2.0 FLEX. Excitingly, we are progressing towards finalizing the merger agreement with Vyome Therapeutics and the asset sale to Biorad Medisys. A special shareholder meeting to vote on these strategic transactions is scheduled for July 24, 2025. Our Board of Directors has unanimously endorsed this transformative opportunity, which we believe will unlock meaningful long-term value for shareholders and serve as a catalyst for accelerated growth in the combined company."
