Plymouth Industrial REIT Shareholders Approve $22 Acquisition
Plymouth Industrial REIT "announced that, at the concluded special meeting of stockholders held earlier today, its stockholders approved the all-cash acquisition of the Company by entities affiliated with Makarora Management LP, along with Ares Alternative Credit funds. As previously announced, on October 24, 2025, the Company, Makarora and Ares entered into a definitive merger agreement, pursuant to which Makarora and Ares have agreed acquire all outstanding shares of Plymouth's common stock and all outstanding limited partnership interests of Plymouth Industrial OP, LP for $22.00 per share in an all-cash transaction valued at approximately $2.1 billion, including the assumption of certain outstanding debt. The proposed acquisition is expected to be completed on or about January 27, 2026, subject to satisfaction or waiver of customary closing conditions."
Makarora to Purchase Plymouth Industrial REIT for $22 per Share, Valuing the Deal at $2.1 Billion
Plymouth Industrial REIT (PLYM) announced that it has entered into a definitive merger agreement under which entities affiliated with Makarora Management LP, along with Ares Alternative Credit funds (ARES), will acquire all outstanding shares of Plymouth's common stock and all outstanding limited partnership interests of Plymouth Industrial OP, LP for $22.00 per share, in an all-cash transaction valued at approximately $2.1B, including the assumption of certain outstanding debt. The transaction, which has been unanimously approved by Plymouth's Board of Directors, is expected to close in early 2026, subject to approval by Plymouth's shareholders and other customary regulatory approvals and other closing conditions. Plymouth intends to conduct a 30-day "go-shop" period that will expire at 11:59 PM ET on November 23, 2025, which permits Plymouth and its financial advisors to actively initiate, solicit and consider alternative acquisition proposals from third parties. Plymouth's Board of Directors will have the right to terminate the Merger Agreement to enter into a superior proposal, subject to the terms and conditions of the Merger Agreement. There can be no assurance that this process will result in a superior proposal and Plymouth does not anticipate providing any updates during the 30-day "go-shop" period. Plymouth will pay its previously announced third quarter dividend on October 31, 2025 and will pay dividends as reasonably necessary for the Company to maintain its status as a real estate investment trust for tax purposes and to avoid incurring any entity level income or excise tax, but Plymouth may not pay any other dividends during the term of the Merger Agreement. Upon completion of the transaction, Plymouth will become a private company and shares of Plymouth's common stock will be de-registered under the Securities Exchange Act of 1934, as amended, and no longer trade on the NYSE. As a result of this announcement, the company does not plan to file its customary earnings release, supplemental information and prepared commentary or to host a conference call or webcast to discuss its financial results for the quarter ended September 30.
Plymouth Gets $24.10 Per Share Acquisition Offer from Sixth Street
Plymouth Industrial REIT received an unsolicited, non-binding proposal from Sixth Street Partners to acquire all of the outstanding shares of the Company's common stock for cash consideration of $24.10 per share. According to the Schedule 13D filed yesterday with the U.S. Securities and Exchange Commission disclosing the proposal, Sixth Street beneficially owns approximately 9.99% of Plymouth's outstanding common stock. Consistent with its fiduciary duties and in consultation with its financial and legal advisors, the Company's Board of Directors will carefully evaluate the proposal to determine the course of action it believes is in the best interests of all Plymouth shareholders. Shareholders are not required to take any action at this time.
Plymouth Industrial REIT reports Q2 leasing commenced totaling 1.45M sq. ft.

Plymouth Industrial REIT buys industrial properties portfolio in Ohio for $193M
Plymouth Industrial REIT announced the acquisition of a 1.95M square-foot portfolio of industrial properties located across Columbus, Cincinnati, and Cleveland, Ohio for a total purchase price of $193M. The 21-building portfolio comprises functional industrial assets with infill locations and physical features including high clear heights, truck loading, updated lighting, and modern office finishes. The portfolio is currently 97% leased to 75 tenants with a weighted average remaining lease term of 2.47 years. In-place rents are approximately 22% below current market rates. The purchase price reflects a 25%-plus discount to today's replacement cost.
