Natuzzi Suspended by NYSE and Delisting Proceedings Initiated
Natuzzi S.p.A. announced that it received written notice from the New York Stock Exchange that the NYSE suspended trading in, and has determined to commence proceedings to delist, the company's American Depositary Shares from the NYSE. "These proceedings are the result of the Company's failure to comply with the continued listing standard set forth in Section 802.01B of the NYSE Listed Company Manual, which requires the Company to maintain an average global market capitalization over a consecutive 30 trading-day period of at least US$15 million for its ADSs. The Company is carefully reviewing the NYSE determination and is evaluating all available options, including its right to appeal the decision in accordance with the applicable NYSE procedures. The Company intends to take all appropriate steps to protect the interests of its shareholders and preserve access to the U.S. capital markets. If the Company elects not to appeal or the appeal is rejected, then the delisting would become effective 10 days after the filing by the NYSE of Form 25 with the Securities and Exchange Commission," the company stated.
Natuzzi Confirms New CEO Candidate
Natuzzi announced that, following the Company's press release dated August 10, 2026, in which it disclosed the signing of a commitment letter with a candidate for the role of Chief Executive Officer, it has entered into a definitive agreement with the selected candidate for the role of Chief Executive Officer of the Natuzzi Group. The appointment remains subject to approval by the Company's shareholders, whose meeting is scheduled to be held on September 11, 2026, on first call, or September 14, 2026, on second call, as well as to the candidate's release from certain current professional commitments. The selected candidate is an international executive with more than 30 years of leadership experience, including multiple Chief Executive Officer and senior executive roles at global companies across the food, consumer durables, luxury furniture, innovation and home appliances sectors.
Natuzzi Signs Commitment Letter with CEO Candidate
Natuzzi has signed a commitment letter with a candidate for the role of Chief Executive Officer. Based on the candidate's extensive international experience, the company believes that his profile will provide valuable support to Natuzzi's ongoing restructuring process and long-term strategic development. The company will inform the market in a timely manner of any further material developments, in accordance with applicable regulations.
Natuzzi Submits Compliance Plan Accepted by NYSE
Natuzzi announced that on May 20, 2026, the New York Stock Exchange notified the Company that it had accepted its plan to regain compliance with the NYSE's continued listing standards. As previously reported, on January 6, 2026, the Company received a notice from the NYSE stating that it was no longer in compliance with the continued listing standards set forth in Section 802.01B of the NYSE Listed Company Manual relating to market capitalization and shareholders' equity. The Company submitted a compliance plan to the NYSE on April 6, 2026 and subsequently on May 18, 2026 advising how the Company intends to regain compliance with the continued listing standards within 18 months of January 6, 2026. The Company is subject to periodic review by the NYSE for compliance with the initiatives set forth in the plan.
