Coeur Mining Completes Acquisition of New Gold
New Gold (NGD) announced the completion of the previously announced plan of arrangement whereby a wholly-owned subsidiary of Coeur Mining (CDE) has acquired all of the issued and outstanding shares of New Gold. Under the terms of the Transaction, New Gold shareholders received 0.4959 shares of Coeur common stock for each New Gold common share held. Shortly following the completion of the Transaction, New Gold common shares will be de-listed from the Toronto Stock Exchange and the NYSE American. Coeur also intends to cause New Gold to apply to cease to be a reporting issuer under applicable Canadian securities laws. Shares of Coeur common stock are listed on the New York Stock Exchange and the TSX.
New Gold Receives Supreme Court Approval for Acquisition Plan
New Gold (NGD) announced that the Supreme Court of British Columbia has issued a final order approving the previously announced plan of arrangement under the Business Corporations Act, whereby a wholly-owned subsidiary of Coeur Mining (CDE) will acquire all of the issued and outstanding common shares of New Gold. The transaction remains subject to approval under the Investment Canada Act and the satisfaction of certain other customary closing conditions for transactions of this nature. It is currently anticipated that the transaction will close in the first half of 2026.

New Gold (NGD) announced that at a special meeting of shareholders held earlier, holders of New Gold's common shares voted in favor of the special resolution approving the previously announced plan of arrangement under the Business Corporations Act, whereby a wholly-owned subsidiary of Coeur Mining (CDE) will acquire all of the issued and outstanding common shares of New Gold.

New Gold (NGD) announces that leading independent proxy advisory firm Glass, Lewis & Co. has recommended that New Gold shareholders vote "FOR" the previously announced plan of arrangement under the Business Corporations Act, pursuant to which a wholly-owned subsidiary of Coeur Mining (CDE) will acquire all of the issued and outstanding common shares of New Gold, to be approved at the upcoming Special Meeting of New Gold shareholders to be held on Tuesday, January 27, 2026.
New Gold Receives Support for Merger with Coeur Mining
New Gold (NGD) announced that independent proxy advisory firm, Institutional Shareholder Services, has recommended that New Gold shareholders vote for the previously announced plan of arrangement under the Business Corporations Act, pursuant to which a wholly-owned subsidiary of Coeur Mining (CDE) will acquire all of the issued and outstanding common shares of New Gold, to be approved at the upcoming special meeting of New Gold shareholders to be held on Tuesday, January 27, 2026 at 11:00 a.m. Under the terms of the transaction, New Gold shareholders will receive 0.4959 shares of Coeur common stock for each New Gold common share held. Immediately following completion of the transaction, existing shareholders of Coeur and New Gold will own approximately 62% and 38% of the combined company, respectively.
