Oppenheimer finds Day One's $285M investment in Mersana 'intriguing'
Oppenheimer analyst Matthew Biegler notes Day One (DAWN) announced it was acquiring Mersana Therapeutics (MRSN) for its B7-H4 ADC being tested in adenoid cystic carcinoma type 1. This takeout wasn't on the firm's short list, Oppenheimer says. On one hand, there's an argument that Emi-Le fits alongside PTK7 as another ADC in the quiver. On the other hand, the firm believes that management was talking down PTK7, "so perhaps Emi-Le is its replacement?" It doesn't come cheap - and they probably could have sourced something similar from China for cheaper, it argues. This suggests to Oppenheimer that management is seeing something in Emi-Le to warrant the 280% premium to Mersana shares. Given that ACC affects children and adults, the indication fits into Day One's "Right from Day One" mantra. The firm welcomes the pipeline diversification away from reliance on OJEMDA, and reiterates a Perform rating on Day One.
Day One Biopharmaceuticals to purchase Mersana Therapeutics for a total of up to $285 million
Day One Biopharmaceuticals (DAWN) announced it has signed a definitive merger agreement for Day One to acquire Mersana Therapeutics (MRSN). Under the terms of the definitive merger agreement, Day One will promptly commence a tender offer to acquire all of the outstanding shares of Mersana common stock at a price of $25 per share in cash at closing plus one non-tradable CVR per share to receive certain potential milestone payments of up to an aggregate of $30.25 per CVR in cash, for total consideration of up to $55.25 per share in cash, representing a total equity value of approximately $129M at closing and representing a total deal value of up to approximately $285M. Day One expects to finance the acquisition with existing cash resources. Day One's strong cash position and financial profile is expected to enable development of Emi-Le through potential approval with no additional financing required. The transaction is expected to close by the end of January 2026, subject to receipt of applicable regulatory approvals and the satisfaction of other customary conditions.
Mersana Therapeutics reports Q2 EPS ($4.87), consensus ($4.25)
