MiMedx Enters Merger Agreement with Sanara MedTech

In a regulatory filing, MiMedx (MDXG) noted that, as previously announced, MiMedx Group entered into an agreement and plan of merger with Sanara MedTech (SMTI), pursuant to which, among other things and subject to the terms and conditions, merger subsidiary will be merged with and into Sanara, with Sanara surviving the merger as a wholly-owned subsidiary of MiMedx. On October 15, the company and Sanara each received a request for additional information and documentary materials from the Federal Trade Commission in connection with the FTC's review of the merger. "The effect of a Second Request is to extend the waiting period imposed by the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, until 30 days after the parties have substantially complied with the Second Request, unless that period is extended voluntarily by the parties or terminated earlier by the FTC. Completion of the Merger remains subject to the expiration or termination of the waiting period under the HSR Act and the satisfaction or waiver of the other closing conditions specified in the Merger Agreement. The Company continues to work constructively with the FTC in its review of the Merger," the company stated.

MiMedx Group Court Ruling Supports Axiofill Classification

MiMedx Group announced that the U.S. District Court for the Northern District of Georgia issued a favorable ruling in the company's litigation challenging the FDA regulatory classification of Axiofill, the company's human placental-derived extracellular matrix particulate product. The court vacated FDA's determination that Axiofill is not a Section 361 HCT/P because it is more than minimally manipulated and FDA's determination that Axiofill should be classified as a biological product rather than a medical device. The court remanded both matters to FDA for further consideration consistent with its order.
