Lifezone Metals Reduces Payment Cap to BHP by $8M

Lifezone Metals announced a $8M reduction in the cap on consideration payable to BHP Billiton DDS Limited, following an independent expert review confirming that the Kabanga Nickel Project's Resettlement Action Plan, or RAP, has continued to be in material alignment with the International Finance Corporation's Performance Standard 5. Lifezone's July 2025 definitive agreement with BHP to acquire BHP's 17% equity interest in Kabanga Nickel Limited included a RAP assessment provision. Under it, Lifezone was required to obtain independent verification after a 12-month period confirming whether the Kabanga Nickel Project's RAP had been prepared, developed and implemented in material alignment with IFC PS5 objectives, and assessing the effectiveness of measures designed to mitigate identified impacts and risks. The determination, as made by the RAP expert, and pursuant to the terms of the definitive agreement, resulted in an automatic reduction of $8M on the cap on consideration payable to BHP. Consideration payable to BHP comprises two deferred cash payments: a fixed payment of $10M, payable on the earlier of 12 months after the Final Investment Decision on the Kabanga Nickel Project or Lifezone raising $250M in aggregate funding; and a contingent payment, payable 12 months after first commercial production, based on a reference amount of $28M that is indexed to Lifezone's share price.

Lifezone Metals Cash Balance Decreases to $15.3 Million

Lifezone Metals reported a cash balance of $15.3 million as of March 31, 2026, compared to $20.1 million as of December 31, 2025. CFO Ingo Hofmaier commented: "Q1 2026 was another period of disciplined execution as we advanced the Kabanga Nickel Project, opened up new avenues with the Musongati Nickel Project Exclusivity Agreement and produced our first ever Platinum, Palladium and Rhodium from the U.S. PGM Recycling Project from pilot testwork at Simulus, while maintaining focus on capital efficiency, liquidity and long-term value creation. During Q1, we received an initial $5 million, as part of a second utilization under the senior secured bridge loan facility provided by Taurus. The remaining $16.7 million under the second utilization was received on April 29, 2026, with a further $18.3 million of the facility remaining available. Also in April, we further strengthened our cash position by closing a registered direct offering that raised $25.0 million in gross proceeds. These funds will help us to position the business for the next stage of growth while remaining mindful of market conditions and disciplined capital allocation."
