IperionX Plans Redomiciliation to Texas, USA
IperionX intends to pursue a redomiciliation to the United States through the establishment of a Texas-incorporated ultimate parent company. IperionX is developing a domestic titanium supply chain designed to extend from titanium minerals and recycled feedstocks through titanium metal production to advanced manufactured products for defense and other strategically important U.S. industries.
IperionX Prices 2.275 Million ADS Public Offering, Raising Approximately $50 Million
IperionX announced the pricing of an underwritten public offering of 2,275,000 of its American Depositary Shares, with each ADS representing 10 of its ordinary shares, at a price per ADS to the public of $21.98, for aggregate gross proceeds of approximately $50 million, before deducting underwriting discounts, commission and estimated offering expenses payable by the Company. The Public Offering was led by U.S. institutional investors and is expected to close on July 9, 2026, subject to customary closing conditions. Cantor is acting as sole book-running manager for the Public Offering. Roth Capital Partners and B. Riley Securities are acting as co-managers for the Public Offering.
IperionX Awarded Up to $6.6M Defense Contract
IperionX has been awarded up to $6.6M under a U.S. Department of War program, funded by the Office of the Secretary of War Submarine Workforce and Industrial Base, or OSW-SWIB. The award forms part of a larger program to scale domestic production of high-performance titanium alloy products, including ballistic-grade titanium plate, for maritime and land defense platforms. The multi-organization defense program will focus on titanium mill products and components for platforms requiring exceptional strength-to-weight performance, corrosion resistance, durability, ballistic-impact tolerance, and shock survivability.
IperionX Acquires Key Assets from Covia for $3M
IperionX announced it has entered into an agreement to acquire certain key assets associated with Covia Solutions' Camden, Tennessee silica sand operation for $3M. Camden is located adjacent to IperionX's Titan Project in Tennessee. All material conditions have been satisfied, with only standard administrative items remaining to complete the transaction. IperionX has agreed to assume Covia's obligation to reclaim certain property which includes re-grading, re-vegetation and stabilizing disturbed land. The company said, "This is a strategically important acquisition for IperionX and for the United States. Camden adds pre-processed stockpiled minerals, pre-stripped mineral horizons, mineral rights, processing equipment and infrastructure within the same McNairy critical mineral system that hosts Titan. By combining Covia's Camden assets with Titan, IperionX is consolidating one of America's most important mineral-sands province, creating exceptional synergies. Our goal is to build a resilient domestic platform that connects Tennessee critical minerals with downstream U.S. titanium metal production and advanced manufacturing in Virginia, while supporting future U.S. rare earth separation, magnet and advanced materials supply chains."
