Discovery. The company said, "The eight-month review process has spanned 68 countries worldwide, including the European Union, UK, Australia, Canada, Brazil, China, COMESA, the U.S. Department of Justice and, most recently, Mexico, which announced its clearance today. These independent regulators from across the globe applied the law and market definitions that reflect how audiences consume entertainment and how media companies compete today - and have consistently found no basis to prevent the transaction from moving forward. Paramount and WBD could and would close today and begin delivering the benefits recognized by regulators around the world, theater owners and others across the industry but for the actions of just 12 state attorneys general." Paramount urges the 12 state attorney generals who brough litigation to "engage with us in good faith, as we have repeatedly sought to do, to resolve this litigation and clear the way to bring these two companies together."Meanwhile, Reuters' David Shepardson reported this week that Paramount has asked a U.S. judge to require states challenging the acquisition of Warner Bros. to post a $1.88B bond to address the costs caused by the delays. The company must pay $7M a day if the $110B merger does not close by September 30. Paramount noted trials with the states is scheduled for March and final legal briefs are in April, which would result in Paramount Skydance paying Warner Bros $1.3B in "ticking fees."Additionally, while a dozen state attorneys general argue the takeover of Warner Bros. Discovery would hurt movie theaters, chains controlling 60% of the U.S. market now argue the opposite, Brooks Barnes of The New York Times reported. Cinemarkis the latest movie theater owner to support CEO David Ellison's deal, pointing to Ellison's "firm" commitment for at least 30 movies in theaters each year, waiting at least 45 days before making them available on streaming, and 90 days before being put on subscription streaming services. AMC Entertainmentendorsed the transaction in April after similar assurances from Ellison. Regal similarly followed suit this month.PEACOCK PRICE:Effective August 18, the prices of Peacocksubscription plans have changed. Discovery to hold off on consummating their deal to combine for 14 days after California and 11 other states sued to block the merger on July 13, Bloomberg reported on Monday. Paramount and Warner Bros. hoped to close as soon as July 22, the report noted.Meanwhile, on Wednesday the European Commission said it approved the proposed acquisition by Paramount Skydance of Warner Bros. Discovery. The approval is conditional upon full compliance with the commitments offered by Paramount. "Paramount and Warner are both active in the production and distribution of theatrical and audiovisual entertainment content, such as films and television series. According to the companies, the transaction will allow Paramount to better compete in the rapidly evolving entertainment industry, which is quickly expanding into streaming," the agency said in a statement. The Commission found that, at film production level, enough film studios remain as competitors in the European Economic Area. To address the Commission's competition concerns at film distribution level, Paramount offered the following remedies: Termination of Paramount's stake in United International Pictures in the EEA within 13 months from the closing of the transaction.Additionally, the pause on the deal has been extended to August 17 from August 3 by U.S. District Judge Araceli Martinez-Olguin, Bloomberg's Josh Sisco reported Thursday. The judge is still slated to hold a hearing on August 3 over whether to delay the transaction further pending the outcome of a trial to block the deal entirely, the author noted.NETFLIX UPGRADE:Phillip Securities upgraded Netflix to Buy from Accumulate with an unchanged price target of $110. The firm cites valuation for the upgrade following the stock's recent selloff. Netflix has "healthy" membership trends, "resilient" pricing power, expanding advertising monetization, and "industry-leading" profitability, the analyst tells investors in a research note. Phillip sees no signs of slowing engagement. It believes the company's earnings growth will reaccelerate as advertising monetization continues to scale, creating an attractive entry point for long-term investors.DISNEY/UBS:UBS lowered the firm's price target on Disneyto $133 from $138 and keeps a Buy rating on the shares.
