Diodes Plans to Offer $325M Convertible Senior Notes
Diodes announced it intends to offer, subject to market conditions and other factors, $325M aggregate principal amount of Convertible Senior Notes due 2031 in a private placement only to persons reasonably believed to be "qualified institutional buyers" pursuant to Rule 144A under the Securities Act of 1933, as amended.

Diodes to Acquire ElevATE Semiconductor for $250M
Diodes Incorporated entered into a definitive agreement to acquire ElevATE Semiconductor in an all-cash transaction for $250M. ElevATE is a fabless semiconductor company based in San Diego, California that specializes in the development of integrated circuits for the Automated Test Equipment industry. ElevATE addresses the industry's most complex ATE challenges by designing the lowest power and highest density solutions, with the goal of providing the lowest possible cost of test. Highlights of the transaction include: Combines ElevATE's ATE IC technology leadership with Diodes' broad product portfolio, manufacturing scale and global sales reach to increase penetration of the ATE market; Expected to be immediately accretive to Diodes' revenue, gross margin, and earnings per share; Anticipated to add approximately $50M of revenue in the first twelve months post-close, with revenue expected to grow at a CAGR of greater than 20% over the next four years with gross margin significantly higher than Diodes' corporate average; and Expands Diodes' analog and mixed signal product offerings as well as provides significant opportunity for Diodes' portfolio in applications within the ATE market. The Boards of both companies and the stockholders of ElevATE have approved the transaction, which is still subject to customary closing conditions, including regulatory approvals. The transaction is expected to close during the second half of 2026.
Diodes Launches Automotive USB Type-C Controller APK43070Q
Diodes Incorporated announces the APK43070Q, a highly integrated, automotive-compliant synchronous buck controller in combination with a USB Type-C PD3.1 source controller. This level of integration reduces the number of external components, lowers BOM cost, and simplifies the design of high-power USB Type-C charging ports. Typical applications include single-port and multi-port USB Type-C charging modules in vehicles. Operating from a 4V to 36V input, the device supports USB PD3.1 extended power range and adjustable voltage supply up to 28V, and standard power range and programmable power supply up to 21V. These capabilities enable USB Type-C charging ports delivering up to 140W.
