Cemex to Divest Colombian Operations for Approximately $555M
Cemex announced that it is in the process of divesting certain operations in Colombia. The divestment is expected to take place through several separate transactions with different parties, for a combined purchase price of approximately $555M, at an approximate 10x multiple of 2025 EBITDA. As a first step, Cemex entered into an agreement with the Holcim Group to sell a cement plant, a grinding mill and a portfolio of ready-mix concrete, aggregates, mortar, and admixture plants for a purchase price of $485M. The transaction with Holcim is currently expected to close at the end of the year, subject to customary closing conditions, including regulatory approvals. In addition, Cemex is currently negotiating with other third parties the sale of remaining assets in the same general geographic area that were not included in the transaction with Holcim, which the company expects to generate approximately $70M in additional proceeds. Following the completion of these transactions, Cemex will retain two cement plants in Colombia, with a total installed capacity of 1.6M tons per year, as well as a grinding mill, ready-mix concrete plants, and aggregates quarries.
Cemex Reaches Agreement to Acquire Omega Products
Cemex announced that it has reached an agreement to acquire all assets of Omega Products International, a manufacturer of stucco in the western United States. Omega generates approximately $23M in EBITDA per year. The transaction currently meets Cemex's return and free cash flow conversion criteria, with an expected post-synergy multiple below 7x. This transaction continues to reinforce Cemex's commitment to disciplined capital allocation and long-term shareholder value, while supporting its strategy to expand U.S. operations and diversify into high-growth performance materials. The transaction is expected to close during the first quarter of 2026.
