ZimVie confirms it has finalized its acquisition by ARCHIMED.

ZimVie announced that ARCHIMED has completed its previously announced acquisition of ZimVie. Pursuant to the terms of the transaction announced on July 20, 2025, ARCHIMED acquired all of the outstanding shares of ZimVie stock. ZimVie stockholders are entitled to receive $19.00 in cash for each share of ZimVie common stock owned. As a result of the transaction completion, ZimVie's common stock no longer trades on the NASDAQ stock exchange.

ZimVie Shareholders Give Green Light to ARCHIMED Acquisition

ZimVie announced that at the special meeting of ZimVie stockholders held on October 10, 2025, the ZimVie stockholders voted to approve the acquisition of ZimVie by an affiliate of ARCHIMED pursuant to the terms and conditions of the Agreement and Plan of Merger, dated as of July 20. The parties now expect the Merger to close on October 20, 2025, subject to the satisfaction of all conditions in the Merger Agreement.

ZimVie withdraws guidance amid ARCHIMED transaction

On July 21, 2025, ZimVie issued a press release announcing ZimVie's entry into a definitive agreement pursuant to which ZimVie will be acquired by an affiliate of ARCHIMED for $19.00 in cash per share. The transaction is expected to close by year-end 2025, subject to the satisfaction of customary closing conditions, including approval by ZimVie's stockholders and receipt of applicable regulatory approvals. Upon completion of the transaction, ZimVie will become a privately held company and shares of ZimVie common stock will no longer be listed or publicly traded on the NASDAQ stock exchange. Due to the pending transaction, ZimVie will not host a conference call for the second quarter and ZimVie is withdrawing fiscal 2025 guidance. ZimVie's previous financial guidance should not be relied upon.
