VICI Properties Signs New Lease with Highfield at C$10.7M Annual Rent
VICI Properties (VICI) announced today that, in connection with Century Casinos' (CNTY) agreement to sell the operations of Century Mile Racetrack and Century Downs Racetrack, located in Alberta, Canada, to a subsidiary of Highfield Investment Group, VICI has agreed to enter into a new separate triple-net lease with a subsidiary of Highfield with respect to the real property of Century Mile & Downs and also enter into an amendment to the Master Lease between VICI Properties and Century Casinos. The Century Mile & Downs Lease will have an initial annual base rent of C$10.7M and if closing occurs after January 1, 2027, such base rent shall escalate as provided for in the Century Master Lease on such date. Upon closing, the Century Mile & Downs Lease will begin a new 20-year lease term with four 5-year renewal options. The other terms of the Century Mile & Downs Lease will be substantially the same as the terms for the Canadian assets under the Century Master Lease, including escalation equal to the greater of 1.25% and the change in Canadian CPI and a minimum capital expenditure requirement equal to 1.0% of annual net revenue at each property. The Century Mile & Downs Lease will be guaranteed by Highfield Investment Group, Inc. VICI Properties has also agreed to amend the Century Master Lease to account for Century's divestiture of the operations of Century Mile & Downs, which will result in a corresponding reduction of the annual base rent under the Century Master Lease by C$10.7M with adjustments to reflect the escalated rent if the transaction closing occurs after January 1, 2027. There will be no change to the aggregate rent collected by VICI. The transactions referenced herein are expected to be completed in the fourth quarter of 2026 or the first quarter of 2027 and are subject to customary closing conditions and regulatory approvals.
Century Casinos Sells Edmonton and Calgary Casinos for $16.4M
Century Casinos (CNTY) announced that it has entered into a definitive agreement to sell the racing and gaming operations of Century Mile Racetrack and Casino in Edmonton, Alberta and Century Downs Racetrack and Casino in Calgary, Alberta to Highfield Investment Group for an aggregate purchase price of approximately $16.4M, representing a 6.1x multiple of FY 2025 EBITDA. The real estate underlying Century Mile and Century Downs is owned by subsidiaries of VICI Properties (VICI) and is leased to the operating companies under the company's existing triple-net master lease agreement. In connection with the closing, subsidiaries of the company and VICI will amend the Master Lease to remove the Century Mile and Century Downs properties, and Highfield will become the new tenant of these properties and be responsible for the associated rent obligations going forward. With the removal of these two properties from Century's Master Lease, the company's annual rent will be reduced by approximately $7.5M. The company intends to use the proceeds from the transaction to reduce its indebtedness. The transaction is expected to reduce the company's lease-adjusted net leverage on a pro forma basis.
Century Casinos Q2 Revenue at $152M, Below Consensus
Reports Q2 revenue $152M, consensus $153.86M. "We are very pleased with the results of our North American operations during the second quarter, driven by a strong performance at the Nugget, in the US West reportable segment, as well as in the US Midwest reportable segment, which includes our Missouri and Colorado properties. The Nugget's Adjusted EBITDAR grew an additional 93%, after growing by 93% in the first quarter, and we will continue to work diligently at the property to continue this performance throughout 2026 and beyond. Unfortunately, the results in North America were negatively impacted by Poland, which continued to underperform due, in part, to low table hold in June 2026. However, we are seeing some signs of improvement in Poland that should lead to better results over the next several quarters," Erwin Haitzmann and Peter Hoetzinger, Co-Chief Executive Officers of Century Casinos, remarked.

The growth was driven by strong play from our high-value and core customer groups.
