American Industrial Partners Acquires Avanos Medical for Approximately $1.272B
American Industrial Partners announced the closing of the acquisition of Avanos Medical by affiliates of investment funds advised by AIP in a transaction valued at approximately $1.272B. Under the terms of the merger agreement, Avanos stockholders will receive $25.00 per share in cash for each share of common stock they own. With the completion of the transaction, the company's common stock will cease trading on the New York Stock Exchange and Avanos will become a private company.

Avanos Medical and American Industrial Partners announced the receipt of all required regulatory approvals to complete the pending acquisition of Avanos by affiliates of investment funds advised by AIP. The proposed transaction is expected to close no later than July 27, subject to receipt of Avanos stockholder approval and the satisfaction or waiver of the remaining customary closing conditions. The special meeting of Avanos stockholders to approve the proposed transaction will be held on July 22.
