Autozi Internet Secures $30M Investment
Autozi Internet announced that it has received an aggregate investment of $30M from multiple investors. Autozi intends to deploy the capital across several core priorities: targeted integration of automotive supply-chain resources, development of a cross-border automotive supply-chain platform, continued investment in digital and intelligent technologies, expansion of the company's automotive lifecycle service capabilities, and enhancement of working capital and operational capacity.
Autozi Enters $5.25M Securities Purchase Agreement with Institutional Investor
Autozi Internet announced that it entered into a definitive securities purchase agreement with an institutional investor on June 22, pursuant to which the company issued to the buyer an advance promissory note. The closing of the transaction contemplated by the agreement occurred on June 23. The transaction will result in gross proceeds to the company of up to $5.25M. Proceeds from the transaction will enhance Autozi's financial flexibility to support its strategic growth initiatives and expand operational capacity. Under the agreement, from the closing date until the twenty-first month anniversary of the closing date, the buyer shall have the option, upon five business days' notice, to cause the company to issue an additional $2.5M in aggregate principal amount of advance promissory notes. The notes are convertible into the company's ordinary shares at a conversion price determined based on the closing sale price of the company's ordinary shares at the time of conversion, subject to adjustment as provided in the notes.
Autozi Receives Nasdaq Non-Compliance Notice
Autozi Internet Technology announced that it has received a written notification from The Nasdaq Stock Market dated March 25, 2026 indicating that the Company is not in compliance with the minimum Market Value of Listed Securities ("MVLS") of US$50,000,000 set forth in the Nasdaq Listing Rules for continued listing on the Nasdaq Global Market, as its MVLS for the 30 consecutive business days from February 10, 2026 to March 24, 2026 has failed to meet the minimum requirement. Pursuant to Nasdaq Listing Rule 5810(c)(3)(C), the Company has a compliance period of 180 calendar days, or until September 21, 2026, to regain compliance. If at any time during this compliance period the Company's MVLS closes at US$50,000,000 or more for a minimum of ten consecutive business days, Nasdaq will notify the Company that it has achieved compliance with the MVLS requirement, and the MVLS matter will be closed. In the event the Company does not regain compliance with Rule 5450(b)(2)(A) prior to the expiration of the compliance period, it will receive written notification that its securities are subject to delisting. This notification does not impact the listing and trading of the Company's securities at this time.
Autozi Internet to Consolidate Shares at 10-for-1 Ratio
Autozi Internet announced that the company's board of directors approved on February 27 that the authorized, issued and outstanding shares of the company be consolidated on a 10-for-1 ratio with the marketplace effective date of March 23. The objective of the share consolidation is to enable the company to regain compliance with Nasdaq Marketplace Rule 5550 and maintain its listing on Nasdaq.
