ANV Group Completes Acquisition of Open Lending

ANV Group Holdings has completed its acquisition of Open Lending, a provider of insurance-backed lending enablement and risk analytics solutions for financial institutions. The transaction has received all required regulatory approvals. Open Lending is now a privately held company. Founded more than two decades ago, Open Lending partners with financial institutions to help expand access to automotive financing through its proprietary risk decisioning technology and insurance-backed credit solutions. The acquisition expands ANV's specialty platform by adding a differentiated lending enablement business that complements its insurance expertise and broader growth strategy.

ANV Group Acquires Open Lending at $3.15 per Share

Open Lending and ANV Group Holdings announced the results of ANV's tender offer for any and all of the outstanding shares of Open Lending common stock at a price of $3.15 per Share. Equiniti Trust Company, the depositary and paying agent for the tender offer, has reported that, as of the expiration of the tender offer at one minute after 11:59 p.m. on July 27, 101,348,383 Shares have been validly tendered and not validly withdrawn, representing approximately 85.65% of the issued and outstanding Shares. All of the conditions to consummate the tender offer have been satisfied. On July 28, 2026, Lakers Acquisition Sub, Inc., a wholly-owned subsidiary of ANV, accepted for payment, and will promptly pay for, all Shares validly tendered pursuant to the tender offer and not validly withdrawn.
