Arbutus Biopharma Launches $230M Stock Buyback
Arbutus Biopharma announced the commencement of a modified Dutch Auction tender offer to purchase for cancellation up to $230M in value of its common shares at a price of not less than $5.00 and not more than $5.75 per share, less any applicable withholding taxes and without interest, on the terms and subject to the conditions described in the offer to purchase and accompanying issuer bid circular, dated August 24, the letter of transmittal and notice of guaranteed delivery. The offer begins August 24 and will expire at 5:00 p.m., New York City time, on September 29, unless extended or terminated by the company. The offer to purchase and bid circular, the letter of transmittal, the notice of guaranteed delivery and other tender offer materials are being filed with the SEC and the applicable Canadian securities regulatory authorities which may be accessed at www.sec.gov and www.sedarplus.ca, and will also be available at investor.arbutusbio.com. Arbutus also announced that on August 21, it obtained exemptive relief from the applicable Canadian securities regulatory authorities with respect to the proportionate take-up and extension requirements of the offer, the details of which can be found in the offer to purchase and bid circular. Arbutus also obtained exemptive relief from the SEC with respect to the proportionate tender feature included in the offer. The company intends to pay for the share repurchase with available cash on hand.

Arbutus Biopharma Plans to Repurchase Up to $230M in Shares
Arbutus Biopharma announced plans to commence a modified "Dutch Auction" tender offer to repurchase up to $230M of its common shares at a purchase price of not less than $5.00 per share and not more than $5.75 per share, in cash, less any applicable withholding taxes and without interest. The offer is expected to commence on or about August 24 and, unless extended or terminated by the company, expire on or about September 29. The offer is expected to be funded through the company's cash on hand.
Arbutus Announces $230M Share Repurchase Starting Q3
Arbutus is also announcing that it expects to return capital to shareholders commencing in Q3 through repurchases of up to approximately $230M of the company's common shares, which repurchases may come in the form of a tender offer, open market purchases, privately negotiated transactions, accelerated share repurchases or other means. The specific form of any such transaction remains subject to the approval of the company's board of directors. Any repurchase will not commence until after receipt of the expected dividend from Genevant's parent in Q3.
