T3 Defense Officially Rebrands and Adopts DFNS Ticker
T3 Defense, formerly Nukkleus, announced a corporate rebrand that formalizes the company's strategy as a holding entity focused on building the asymmetric edge that shapes the future of defense by acquiring and scaling defense businesses positioned at structurally constrained points of the industrial base. The rebrand to T3 Defense and the adoption of the DFNS ticker is intended to clarify the company's positioning for investors, customers, and its current and future strategic partners. The company's common stock will continue to trade on the NASDAQ under the new ticker symbol DFNS, effective February 9, 2026. No action is required by shareholders as a result of the name or ticker symbol change. Nukkleus Subsidiary Secures $4.1 Million Defense Contracts in Israel
Nukkleus announced that B. Rimon Agencies, a wholly owned subsidiary of Nukkleus, has secured multi-year contracts supporting Israel's national missile defense and homeland security architecture. The agreements, signed with several leading Israeli defense original equipment manufacturers, provide for Rimon to manufacture critical power and subsystem components for the Iron Dome anti-missile defense system, as well as components supporting additional mission-critical platforms deployed across national security applications. Together, these new contracts represent approximately $4.1 million in total value.
Nukkleus Acquires 100% Equity in Israeli Nimbus Drones
Nukkleus announced that it has acquired 100% of Nimbus Drones Technologies and Marketing, an Israeli private company specializing in professional unmanned aerial systems and services. In consideration for Nimbus, Nukkleus issued 1,850,000 shares of its common stock, and a $3.25 million 24-month convertible note in exchange for a 100% equity interest in Nimbus on a fully-diluted basis. The Note is convertible at a fixed price of $2.00 per share. According to Nimbus, revenues for FY 2025 were approximately $940,000. Menny Shalom, CEO of Nukkleus, stated, "The acquisition of Nimbus represents another milestone for Nukkleus as it has significantly strengthened our growing defense technology portfolio. The unmanned aerial systems sector continues to see significant demand globally, and Nimbus's expertise in both UAV operations and counter-UAS technology positions them well in this market. We look forward to working with the Nimbus team to explore opportunities to leverage their capabilities within our broader platform."
Nukkleus Completes Acquisition of Star 26 Capital
Nukkleus announced the successful completion of its acquisition of Star 26 Capital, a defense-focused acquisition company. Nukkleus acquired 100% of Star 26 in consideration of a mixed package of cash, promissory notes, as well as shares of Nukkleus common stock and associated warrants issued to Star 26 shareholders on a pro-rata basis. Nukkleus Completes Acquisition of Tiltan Software Engineering for NIS 47.6 Million
Nukkleus announced the closing of its acquisition of Tiltan Software Engineering. Tiltan is now a wholly owned subsidiary of the Company. The company said, "Tiltan's technology is embedded in some of the world's most advanced defense programs. Tiltan's simulation platforms train pilots and operators for Israel Aerospace Industries, its synthetic data accelerates machine learning development for Elbit Systems, and its GPS-denied navigation systems enable Rafael Advanced Defense Systems platforms to operate in contested electromagnetic environments. The Israeli Ministry of Defense has recognized Tiltan with multiple innovation and excellence awards over its three-decade history." The purchase price of NIS 47,600,000 is payable 75% in cash through six installments ending June 2026, and 25% in Nukkleus common stock released from escrow on the settlement date. The Company's payment obligations are secured by a pledge of the acquired Tiltan shares.
