Mill City Ventures III enters $500M equity pact with Alliance Global Partners
Mill City Ventures III announced it has entered into an equity line agreement with A.G.P./Alliance Global Partners, as Investor, enabling Mill City to sell up to $500M of the company's common stock at the company's sole discretion, subject to certain restrictions and closing conditions. Any proceeds from the equity line, which included no commitment fee, will be used to further the company's SUI treasury strategy.
Mill City Ventures III to sell 83.026M shares at $5.42 in private placement
Mill City Ventures III (MCVT) announced that it has entered into securities purchase agreements for a private investment in public equity for the purchase and sale of 83,025,830 shares of common stock at a price of $5.42 per share for expected aggregate gross proceeds of approximately $ 450,000,000, before deducting placement agent fees and other offering expenses. Karatage Opportunities acted as the lead investor, with an equivalent investment from the Sui Foundation, an independent organization dedicated to the advancement and adoption of the Sui network. The Offering included participation by prominent firms and infrastructure providers Big Brain Holdings, Galaxy Digital (GLXY) and Jack Kong - NLABS Fund as well as investment from Pantera Capital , M2, Electric Capital, GSR, Selini, Protagonist, ParaFi Capital, Borderless, dao5, Arrington Capital, Comma3 Ventures, FalconX, Paper Ventures and Maven 11 amongst others. Galaxy Asset Management will serve as the asset manager. The closing of the offering is expected to occur on or about July 31, subject to the satisfaction of customary closing conditions. The company intends to use approximately 98% of the net proceeds from the private placement to acquire the native cryptocurrency of the Sui blockchain commonly referred to as SUI, and approximately 2% of the net proceeds from the private placement to fund the company's short-term lending business. SUI will serve as the company's primary treasury reserve asset. A.G.P./Alliance Global Partners is acting as the sole placement agent in connection with the offering.
Mill City Ventures III amends $2.5M credit facility
Mill City Ventures III amended a $2.5M credit facility by increasing the interest rate from 15% to 24% and extending the maturity date. In addition, the company funded a new $400,000 secured short-term loan bearing a 24% interest rate.

Net asset value per share increased to $3.23 from $3.09 at the end of 2024. Chief Executive Officer, Douglas Polinsky, commented: "Our first quarter results reflect continued execution in our lending business. The combination of healthy investment income, strong credit performance, and an opportunistic buyback of our shares at a discount to NAV underscores our focus on shareholder value creation. We remain optimistic about the remainder of 2025 as loan demand continues to be strong and our investment pipeline remains active."
Mill City Ventures III provides $1.75M to support senior living acquisition
Mill City Ventures III announced the funding of a $1.75M short-term loan to Coventry Holdings of Minnesota to support its acquisition of a senior-living facility located in Anoka, Minnesota. The loan was made under an agreement dated March 21, 2025, and is designed to provide bridge capital as Coventry expands its footprint across the Twin Cities metropolitan area. The financing carries a 24% annual interest rate, a maturity of nine months, and is secured by certain personal guarantees and pledges of equity.
