Quanterix shareholder issues statement on Akoya Biosciences merger pact
Kent Lake, a holder of approximately 7.7% of the outstanding common stock of Quanterix (QTRX), issued the following statement regarding the company's announcement of an amended merger agreement related to its proposed merger with Akoya Biosciences (AKYA): "Quanterix's decision to press on with the Merger in the face of significant public shareholder opposition is bad enough. What is even more egregious is the fact that the Company will no longer provide shareholders with the opportunity to vote on the Merger. This shocking disenfranchisement indicates a blatant disregard for the will of shareholders and a complete lack of accountability on the part of the Company's Board of Directors - especially since vote reports showed the proposal for the Merger losing by a nearly 3-1 margin. In its press release yesterday, Quanterix Chief Executive Officer Masoud Toloue stated that "the strategic merits of the transaction remain strong." Unfortunately for Dr. Toloue, the steep decline in Quanterix's stock price and enterprise value - which are down 48% and over 100%, respectively, since the Merger was announced, tell a different story.2 If the Company truly believes in the merits of the transaction, why is it afraid to let shareholders vote on it? We believe that it is no longer possible to trust a Board that negotiated such a value-destructive transaction in the first place and that has now decided to ignore the concerns of major shareholders. Quanterix's directors have proven themselves unable to represent the best interests of shareholders. This situation makes the need for boardroom change even more pressing, and we will continue our efforts to elect the three highly qualified individuals we have nominated to the Board at this year's Annual Meeting. We look forward to communicating further in the weeks to come."
Quanterix, Akoya Biosciences announce amended merger agreement
Quanterix (QTRX) and Akoya Biosciences (AKYA) announced an amendment to the terms of their previously announced merger agreement. Under the amended terms, Quanterix will issue approximately 7.76M shares of its common stock and pay $20M in cash to Akoya shareholders. Each Akoya share will receive $0.38 per share in cash and 0.1461 shares of Quanterix common stock. With the amended exchange ratio, Quanterix will issue over 9M fewer shares than under the original deal terms. Quanterix shareholders will own approximately 84% of the combined company and Akoya shareholders will own approximately 16%. The revised transaction terms and amended merger agreement have been approved by the Quanterix Board and the Akoya board, respectively. Shareholders of Akoya who hold more than 50% of Akoya's common stock have agreed to vote in favor of the merger on the amended terms. As a result of the amended merger agreement, Quanterix will no longer hold its previously announced special meeting of shareholders. The transaction is expected to close during the second quarter of 2025, subject to the approval of Akoya shareholders and satisfaction of other customary closing conditions.

Akoya Biosciences and Enable Medicine announced a collaboration to deliver the largest commercially available single-cell spatial proteomics atlas to the research and clinical community. The Enable Atlas is curated, standardized, and commercially licensable. It provides immediate value to biopharma researchers and AI model developers seeking to accelerate biomarker discovery, drug development, and translational insights. Akoya Biosciences, STCC partner on SUPER study for cancer immunophenotyping
Akoya Biosciences announced a collaboration with the Singapore Translational Cancer Consortium on the STCC Unified PD1/PDL1 Evaluation of Response study. This initiative aims to identify and validate key biomarkers predicting response or refractoriness to immune checkpoint inhibitors using Akoya's IO60 panel for spatial proteomic analysis. While PD-1/PD-L1 inhibitors have revolutionized cancer treatment, patient responses vary widely. The SUPER study is the first study in Singapore, focusing on a unique case-control pan-cancer cohort of 200 patients -100 exceptional responders matched with 100 hyperprogressors to immune checkpoint inhibitors - which seeks to uncover the biological determinants of varied treatment outcomes. The SUPER Study will leverage Akoya's IO60 panel, with other multiomic profiling modalities, to enhance biomarker-driven cancer treatment and improve patient outcomes. Key Objectives of the Study: To identify and validate the assay combination and biomarker profile that best predicts response or refractoriness to PD1/PDL1 inhibition. Develop a combinatorial assay kit/model that best predicts PD1/PDL1 treatment response for clinical applications. Establish a national biomarker discovery program for extreme responders - individuals that have an exceptionally favorable or unusually poor response to cancer treatment. As part of the collaboration, Akoya's IO60 panel will be used to analyze the tumor microenvironment, providing insights into immune cell interactions and biomarker expression patterns in this matched cohort of patients. The study's findings could have significant implications for future cancer immunotherapy approaches and healthcare cost optimization.
