ETHZilla unveils new brand and starts trading with a new ticker symbol.
ETHZilla, formerly 180 Life Sciences, announced the official launch of its new brand as part of the company's transition to focus on its recently announced ethereum treasury strategy. The company's common stock and public warrants will begin trading on Nasdaq under the new ticker symbols "ETHZ" and "ETHZW" as of "market open on August 18, replacing "ATNF" and "ANTFW." Since closing its recent private placement and convertible note offering, the company has accumulated 94,675 ETH at an average acquisition price of $3,902.20, currently valued at approximately $419M. The company also holds $187M in cash equivalents.
180 Life Sciences files to sell $500M of common stock
Before the market opened, the company disclosed in a regulatory filing that it entered into a sales agreement, dated August 13, with Clear Street relating to shares of its common stock. In accordance with the terms of the sales agreement, the company may offer and sell shares of its common stock having a maximum aggregate offering price of up to $500M from time to time through Clear Street, acting as its sales agent, or the ATM offering.

180 Life Sciences announces upsized $425M PIPE offering
180 Life Sciences announced that it plans to adopt a treasury policy under which the principal holding in its treasury reserve will be Ether, the native digital asset of Ethereum. Following the closing of the transaction, the company intends to rebrand to ETHZilla Corporation. The offering consists of an approximately $425M private investment in public equity transaction for the purchase and sale of common stock. The investors will be granted registration rights as part of the transaction. The PIPE transaction is expected to close on or around August 1, 2025, subject to the satisfaction of customary closing conditions. In addition, the company has approval to sell an aggregate amount of up to $150M in debt securities and expects to announce an offering following the closing of the PIPE. The consummation of any subsequent offering is subject to the satisfaction and completion of definitive documentation. Upon closing, the company intends to use the net proceeds from the offering primarily for the purchase of ETH, as well as general corporate purposes and transaction expenses. The company's current management team and a majority of the company's directors will remain in place. Clear Street acted as financial advisor and exclusive placement agent for the PIPE offering.

180 Life Sciences announced two significant value enhancements to its existing, legacy intellectual property portfolio-reinforcing part of the Company's strategy relating to continuing to build shareholder value through scientific innovation and patent protection for legacy IP assets. The Company has been granted and allowed protection in two discrete areas: Post Operative Cognitive Decline - The United States Patent and Trademark Office has granted U.S. Patent No. 12,325,744 B2, entitled "Methods and Agents for Preventing or Reducing Post-Operative Cognitive Decline." This patent protects methods and therapeutic uses for reducing or preventing cognitive impairment in patients following a planned inflammatory trigger, such as surgery or chemotherapy. It also covers treatment of patients with cognitive disorders exacerbated by prior inflammatory exposure, strengthening 180's IP in the neuroinflammation and surgical care space. Dupuytren's Disease and Frozen Shoulder - The Canadian Intellectual Property Office has issued a Notice of Allowance for a patent application covering a method for treating localized fibrotic disorders using an IL-33 antagonist. Upon payment of the requisite fee, a Canadian patent will be granted. This intellectual property supports 180's clinical and translational legacy focus on novel anti-fibrotic therapies, with direct applicability to disorders such as Dupuytren's Disease and Frozen Shoulder, both of which currently lack safe and effective non-surgical treatments. The USPTO patent granted in respect of Post Operative Cognitive Decline is owned by The Kennedy Trust, and licensed to 180, while the Canadian Notice of Allowance for a patent in respect of Dupuytren's Disease and Frozen Shoulder is owned solely by the Company.
