Longevity Health Appoints Ram Ajjarapu as Chairman and CEO
Longevity Health Holdings' Board of Directors has appointed Ram Ajjarapu as Chairman and CEO, effective as of March 16, 2026. In connection with his appointment, Mr. Ajjarapu made a strategic investment in the Company through a private placement that closed on March 16, 2026, acquiring a significant equity position that aligns his interests with those of Longevity's stockholders and demonstrates his commitment to the Company's long-term success. Mr. Shukla will serve as an advisor to Mr. Ajjarapu to ensure continuity during the leadership transition and will remain a significant shareholder in the Company. Ajjarapu, age 57, has served as the CEO of RA Capital Funding since January 2023, the CEO of STP Brokerage Inc. since March 2021, and the CEO of Especially Yours Inc. since July 2025
Longevity Health, True Health to combine in all-stock transaction
Longevity Health announced the execution of a definitive merger agreement with True Health to combine the companies in an all-stock transaction. Following the closing of the merger, the combined company is expected to continue to trade on Nasdaq under the symbol (XAGE). Longevity also announced the mutual termination of the 20/20 BioLabs transaction pursuant to the terms of the merger agreement. The announced merger with THPlasma follows Longevity's acquisition of Carmell Therapeutics in July 2023 and Elevai Skincare in January. Ramping up from 2 centers in FY24 (New Jersey) to 5 centers (New Jersey and Pennsylvania) in FY25. True Health's THPlasma business: has guaranteed sales offtake agreements for $100M in annual sales; achieved cash profitability in FY24; estimated FY25 revenue of $10M and EBITDA of $2M; estimated FY26 revenue of $32M and EBITDA of $7M and is targeting rapid growth through acquisitions and organic growth. THPlasma is valued at $59M plus $20m earnout linked with the achievement of financial results. THPlasma is valued at 2.5 times estimated FY26 revenue inclusive of earnout. Longevity stock is valued at $3.00, a 12% premium to the July 11 closing price. No cash conditions are precedent to merger closing. Rajiv Shukla, chairman and CEO of Longevity, will serve as executive chairman, and George Chi, founder and CEO of THPlasma, will be appointed as co-chairman and CEO post-closing. The transaction has been unanimously approved by the board of directors of both companies and is expected to close in the fourth quarter of 2025, subject to customary closing conditions, including approvals by the stockholders of each company.
Longevity Health extends cash runway into 1Q26
Longevity Health Holdings announced the sale of 479,621 shares of its common stock at an average price of $4.08 per share through its at-the-market equity offering facility. Gross proceeds from the ATM sales totaled approximately $1.96M, prior to deducting fees and expenses. Assuming no growth beyond the Company's pro forma consolidated FY24 sales and not factoring in the planned 20/20 merger, this financing extends XAGE's cash runway into Q1 FY26.
Longevity announces continued Nasdaq listing to complete 20/20 BioLabs deal
Longevity Health announced that it has received a favorable decision from the Nasdaq Hearings Panel granting the company's request to continue its listing on Nasdaq subject to the satisfaction of the Nasdaq initial listing rules for the combined company following the proposed merger with 20/20 BioLabs on or before September 2. This decision follows the panel's review of the company's recent business developments, financial disclosures, and proposed merger with 20/20. As part of its strategic plan, Longevity presented its intention to merge with 20/20 and effect a 1-for-30 reverse stock split to address Nasdaq's listing requirements. The company filed the S-4 registration statement for the proposed merger on May 8 and effected the reverse stock split on May 12.
Longevity Health reports unaudited Q1 revenue $663,000, up 8% year-over-year
Longevity Health announced the following business updates: Merger Agreement entered with 20/20 BioLabs: Merger Agreement executed on April 11, 2025, pursuant to which 20/20 is expected to continue as a wholly owned subsidiary of XAGE following merger closing subject to the satisfaction of the conditions set forth in the Merger Agreement. S-4 prospectus filed with the Securities and Exchange Commission on May 8, 2025. Unaudited Q1 sales: XAGE: approximately $663,000 on a full quarter pro forma basis, an increase of 8% over the same period last year. 20/20: approximately $562,000, an increase of 15% over the same period last year. Reverse Stock Split: Completed a 1 for 30 reverse stock split of XAGE's common stock on May 12, 2025. Stock began trading at split adjusted price on May 14, 2025. Expected Q2 New Product Launches XAGE: expects to launch a medicated cleanser for use in Physicians' offices and MedSpas. This cleanser will also be marketed to 20/20's customer base which consists predominantly of firefighters. 20/20: expects to launch a new lab test that measures inflammatory biomarkers in the blood, a key contributor to premature aging and precursor to various skin and health disorders. This test will also be marketed to XAGE's customer base of physicians and MedSpas. 20/20: announced an initiative with Giant Food at 9 stores in Maryland and Virginia to offer OneTestTM, their multi-cancer test using capillary blood. Giant is also considering expanding the pilot to include a test that spots biomarkers linked to pro-inflammatory foods. Additional Financing XAGE is evaluating options and anticipates announcing a primary investment in Q2 2025.
