zSpace to Implement 1-for-25 Reverse Stock Split
zSpace intends to implement a 1-for-25 reverse stock split of its common stock, par value $0.00001 per share with trading to begin on a split-adjusted basis at the market open April 21, 2026. Trading in the common stock will continue on The Nasdaq Capital Market under the symbol "ZSPC". The reverse stock split is intended to increase the per-share trading price of the Common Stock to enable the Company to regain compliance with the minimum bid price requirement for continued listing on The Nasdaq Capital Market.
zSpace Q4 Bookings Down 21% to $3.4M
Bookings in the fourth quarter of 2025 were $3.4M, down 21% year-over-year. "Our fourth quarter results reflect continued progress against our strategic priorities and our focus on controlling what we can control," said Paul Kellenberger, CEO of zSpace. "In the quarter, software and services comprised 53% of revenue, a 10ppts increase from a year ago, contributing to gross margin expansion of over 840 basis points. This performance was driven by strong customer renewals, deeper adoption of our software offerings and meaningful customer wins across K-12, CTE and workforce pathways. We expanded our platform capabilities with the launch of zStylus One, and saw continued momentum from districts including Greater Altoona CTC, Bellflower's Mayfair High School and Atlanta Public Schools, each demonstrating how immersive, AI-enabled learning is strengthening both academic and career-readiness outcomes."
zSpace Issues $4.3 Million Convertible Note
zSpace issued an additional $4,301,075 senior secured convertible note to an institutional investor pursuant to the terms of its previously announced securities purchase agreement. The additional note was issued on March 16, 2026 under the company's previously announced senior secured convertible note financing, originally entered into on April 10, 2025. Under that agreement, the company initially issued a senior secured convertible note in the original principal amount of $13,978,495, which closed on April 11, 2025. The newly issued note is convertible into shares of the company's common stock. zSpace intends to use the net proceeds from the additional note to repay outstanding debt, enhance the company's working capital position and support general corporate purposes.
zSpace Partners with Eight Million Stories, Inc.
zSpace announced a partnership with Eight Million Stories, Inc., a nonprofit organization founded to disrupt the school-to-prison pipeline. Through immersive, hands-on learning, zSpace technology is helping formerly incarcerated and disconnected youth close academic gaps, explore career pathways, and rebuild confidence in their futures.
