Radius Recycling will not hold Q2 earnings conference call
On March 13, 2025, the Company entered into an Agreement and Plan of Merger with Toyota Tsusho America, pursuant to which, on the terms and subject to the conditions set forth in the Merger Agreement, the Company would become a wholly owned subsidiary of TAI. The Board of Directors of the Company has approved the Merger Agreement and the transactions contemplated thereby, including the Merger. Subject to the satisfaction of the closing conditions, the Company anticipates the Merger to close in the second half of calendar 2025. As a result of the pending Merger with TAI, the Company will not be holding a second quarter earnings conference call or webcast.
Radius Recycling reports Q2 adjusted EPS (99c), consensus ($1.01)
Reports Q2 revenue $643M, consensus $635.94M. The company said, "On a year-over-year basis, operating performance in the second quarter of fiscal 2025 was slightly lower primarily due to lower global ferrous and finished steel prices, including as a result of the dampening effect from elevated levels of Chinese steel exports, partially offset by higher ferrous and finished steel sales volumes, stronger nonferrous demand, and benefits from productivity initiatives."
Radius Recycling to be acquired by U.S. subsidiary of Toyota Tsusho
Radius Recycling (RDUS) has entered into a definitive merger agreement with Toyota Tsusho America, or TAI, a U.S. subsidiary of Toyota Tsusho, or TTC, under which TAI will acquire all shares of Radius for $30.00 per share in cash, representing an approximate 115% premium to Radius' closing share price on March 12, and an approximate 102% premium over the 90-day volume-weighted average share price. Upon completion of the transaction, Radius will continue to operate from its current headquarters in Portland, Oregon with its teams, operating facilities, strategy, and brands retained. TTC, an affiliate of the Toyota Group (TM), is a Japanese trading company headquartered in Nagoya and Tokyo with approximately $65B in global revenue and 70,000 employees worldwide. The implied total enterprise value of the transaction, including net debt, is approximately $1.34B. The transaction is expected to close in the second half of calendar year 2025, subject to approval by Radius' shareholders, regulatory approvals, and other customary closing conditions.
