Pan American Silver finalizes purchase of MAG Silver
Pan American Silver (PAAS) and MAG Silver (MAG) are pleased to announce that Pan American has completed its previously announced acquisition of all of the issued and outstanding common shares of MAG pursuant to a plan of arrangement. The MAG Shares are expected to be delisted from the Toronto Stock Exchange as of the closing of the market September 8, 2025, and to cease trading on the NYSE American as of the opening of the market on September 4, 2025. Pan American is in the process of applying for MAG to cease to be a reporting issuer under applicable Canadian securities laws and to otherwise terminate MAG's public reporting requirements.
Pan American Silver and MAG Silver Obtain COFECE Approval for Acquisition
Pan American Silver (PAAS) and MAG Silver (MAG) announced that the Mexican Federal Economic Competition Commission, or COFECE, has approved the previously announced acquisition of all of the issued and outstanding common shares of MAG by Pan American. All required regulatory, shareholder and court approvals, including the final court order, have now been received and the Arrangement is anticipated to be completed on or about September 4. Registered holders of MAG Shares must indicate their election on August 27 to receive either: $20.54 in cash for each MAG Share held; or the default election of $0.0001 in cash and 0.755 of a common share of Pan American for each MAG Share held, in each case subject to proration in connection with the Arrangement such that the aggregate consideration paid to all MAG shareholders consists of $500M in cash and the remaining consideration paid in Pan American shares.

Reports Q2 cales increased by $19,386 due to 13% higher realized metal prices and $1,553 lower treatment and refining charges driven mainly by updated favorable benchmark treatment pricing terms.
MAG Silver reports Q2 production from Juanicipio
The Juanicipio plant processed 343 thousand tonnes of ore in Q2, a slight increase over the prior quarter and consistent with nameplate capacity of 4,000 tonnes per day. Silver head grade averaged 417 grams per tonne during the quarter maintaining the top end of 2025 grade guidance with year-to-date silver head grade of 423g/t. Gold grades held steady, while lead and zinc grades improved materially, demonstrating the strength of Juanicipio's polymetallic mineralization. Preliminary Q2 production included 4.3 million ounces of silver and 10,465 ounces of gold. Lead and zinc production rose 9% and 21% quarter-over-quarter, respectively. First half 2025 production of 8.8 million ounces of silver and 20,663 ounces of gold positions Juanicipio well to meet full year production guidance. Comprehensive financial and operational results are expected to be released on August 11, 2025. "Juanicipio continues to fire on all cylinders and continues to demonstrate its versatility as a high-quality, silver-dominant polymetallic operation," said George Paspalas, MAG Silver's President and CEO. "We delivered another strong quarter of consistent throughput, solid metal contributions, and silver grades right at the top end of our 2025 guidance range. However, the tragic fatality that occurred in July has deeply impacted all of us. While we are proud of the operational performance, our thoughts are foremost with the family, friends, and colleagues of our lost teammate. This painful loss reinforces the absolute importance of safety in everything we do. MAG Silver says ISS recommends vote in favor of merger
MAG Silver announced that Institutional Shareholder Services issued a report recommending that MAG shareholders vote for the special resolution approving the previously announced plan of arrangement with Pan American Silver (PAAS). Under the terms of the arrangement, shareholders will be able to elect to receive the consideration as either: $20.54 in cash per MAG Share, or $0.0001 in cash and 0.755 Pan American shares per MAG share. The arrangement will be voted on at the meeting to be held on July 10.
