Kuke Music Takes Majority Stake in Naxos Music Group
Kuke Music has acquired a controlling interest in Naxos Music Group, one of the world's largest independent classical music companies. Kuke acquired on the same day a controlling interest in Naxos Music Group through two transactions involving Naxos One and Desun, one of the two existing shareholders of Naxos One. The total transaction value is approximately $106.35M, and was settled entirely through the issuance of Kuke's Class A ordinary shares as consideration. Kuke issued 652,997,260 Class A ordinary shares and 8,395,679 Class A ordinary shares to Naxos One and Desun. Each Consideration Share was valued at $0.1608. The consideration may be settled either in cash or through the issuance of Kuke's Class A ordinary shares. The Consideration Shares held by Desun are subject to a lock-up period of 24 months. Upon completion of the transactions, Kuke holds approximately 70.43% of the outstanding shares of Naxos One, which in turn controls Naxos Music Group. The transactions have been approved by Kuke's shareholders, Board of Directors and Audit Committee.

KUKE Music announced a strategic collaboration with Naxos Music Group. Under this partnership, Naxos will leverage its unparalleled content resources and service infrastructure to support KUKE Music's exploration of artificial intelligence innovations, blockchain and RWA in classical music. The collaboration centers on building a blockchain- and AI-powered "Music LEGO Engine" designed to fundamentally revolutionize the creation, rights verification, application, and value circulation of musical content. Within the compliance framework, tokenizing the company's music copyright assets as RWA. The core initiative-dubbed the "Music LEGO Engine"-will deeply structure and modularize KUKE Music and Naxos' vast, authoritative global classical music catalog. Copyright elements will be deconstructed into standardized, independently identifiable, licensable, and combinable "modules," akin to LEGO bricks.
Kuke Music regains compliance with NYSE listing
KUKE MUSIC received notification from the New York Stock Exchange on June 30, 2025, confirming that the Company is now back in compliance with the NYSE's quantitative continued listing standards. This decision came as a result of the Company's achievement of compliance with the NYSE's minimum market capitalization and shareholders' equity requirement of Section 802.01B of the NYSE Listed Company Manual as of the end of the 9-month plan period, which expired on June 24, 2025. The below compliance indicator will no longer be transmitted for the Company's American depositary shares, and the Company will no longer be noted as being below continued listing standards on the NYSE's website. In accordance with the NYSE Listed Company Manual, the Company will be subject to a 12-month follow-up period during which the Company will be monitored to ensure continued compliance with the NYSE's listing standards. Separately, the Company has initiated content partnerships with automotive manufacturers, primarily focusing on electric vehicle in-car entertainment systems. The Company has also begun exploring opportunities in the artificial intelligence sector, strengthening research and development of music and AI applications.
