Terra Innovatum Submits Investor Presentations, Aims for SOLO Launch in 2027
Terra Innovatum filed a new investor presentation including updates to the timeline for the deployment of its first-of-a-kind SOLO micro-modular reactor solution and commercialization. The Company now expects FOAK deployment in 2027 and commercialization in 2028, compared to 2028 and 2029 for FOAK and commercialization, respectively, showcased in the investor presentation previously filed with the Securities and Exchange Commission on September 10, 2025. The Company also provided the key regulatory milestones needed to achieve its 2028 commercialization target below: Initiated Construction Permit Application Activities - 2025; Initiate Operating License Application Activities - 2026; Submit Preliminary Safety Analysis Report - 2026; Initiate Commercial License Application Activities - 2026; Expected Construction Permit Approval - 2027; FOAK SOLO delivered to site; Expected Operating License Approval - 2027; FOAK SOLO begins operating; Expected Commercial License Approval - 2028; Commercialization in 2028.
GSR III Acquisition Shareholders Greenlight Merger with Terra Innovatum
Terra Innovatum and GSR III Acquisition announced that GSRT shareholders have voted to approve the previously announced business combination with Terra Innovatum and all of the other proposals presented at GSRT's Extraordinary General Meeting of Shareholders held on October 7. GSRT is no longer accepting redemption reversal requests. Subject to the satisfaction or waiver of certain closing conditions, the Business Combination is expected to close in the coming days. The post-combination company will operate under the name Terra Innovatum Global and its ordinary shares are expected to trade on Nasdaq under the ticker symbol "NKLR," subject to the satisfaction of all other listing conditions.
Terra Innovatum Expedites Market Launch for Cancer Isotope Production
Terra Innovatumhas accelerated its go-to-market plans for cancer isotope production with the SOLO micro-modular reactor. Terra Innovatum is developing collaborative business models and frameworks to engage with leading isotope producers and distributors such as NorthStar, ANSTO, BWXT Medical, IRE, NRG, NTP Radioisotopes, and Nordion to broaden access, strengthen partnerships, and expand global market reach.
Terra Innovatum Enters MOU with RAIT 88
Terra Innovatum signed a memorandum of understanding with RAIT 88. RAIT 88 is a defense engineering center internationally recognized for its expertise in engineering, R&D, systems integration, and obsolescence solutions, and is a leader in robotics, artificial intelligence, virtual reality, and the advancement of quantum lidar/radar and next-generation sensors. The agreement provides for business development opportunities across the defense, civil energy, and governmental sectors, while simultaneously enhancing the deployment, operation, and training for Micro-Modular Reactor systems - specifically Terra Innovatum's SOLO reactor platform - through the integration of RAIT's advanced simulation and cutting-edge technologies similarly used by industrial leaders in the aerospace, defense and security such as Leonardo DRS. In addition, Terra Innovatum and RAIT 88 are exploring the creation of interactive training programs to prepare operators, maintenance teams, and safety personnel in accordance with the standards of international nuclear regulatory bodies, including the U.S. Nuclear Regulatory Commission, International Atomic Energy Agency, and other NATO-affiliated agencies. These programs could also provide regulatory authorities with virtual environments to assess maintenance and safety protocols before deployment in the field and support on-going conversations on SOLO's 24/7 remote monitoring program.
GSR III Acquisition and Terra Innovatum Call on Shareholders to Support Merger Approval
Terra Innovatum and GSR III Acquisition Corp. remind GSRT shareholders to vote "FOR" their proposed business combination and all other proposals detailed in the definitive proxy statement/prospectus. GSR III Acquisition Corp. will hold its extraordinary general meeting of shareholders via live webcast at URL on October 7, 2025, at 11:00 a.m., Eastern Time, to approve the business combination with Terra Innovatum and related matters. GSRT shareholders of record as of September 15, 2025, are entitled to vote at the Extraordinary General Meeting and should have received by mail a Proxy Statement with instructions on how to vote their shares. If the necessary proposals are approved, Terra Innovatum and GSRT anticipate that the business combination will close shortly after the Extraordinary General Meeting. The post-combination company will operate under the name Terra Innovatum and its common shares are expected to trade on Nasdaq under the ticker symbol "NKLR," subject to the satisfaction of all other listing conditions.
