Thoma Bravo Completes $12.3B Acquisition of Dayforce
Thoma Bravo announced the completion of its acquisition of Dayforce for approximately $12.3B. The agreement to acquire Dayforce was previously announced on August 21, and was approved by Dayforce stockholders at the special meeting of stockholders held on November 12. With the completion of the transaction, Dayforce stockholders are entitled to receive $70.00 per share in cash for each share of Dayforce common stock they owned. The Company's common stock has ceased trading and will be delisted from the New York Stock Exchange and the Toronto Stock Exchange.
Dayforce Shareholders Greenlight Acquisition by Thoma Bravo
Dayforce announced that its stockholders approved its acquisition by Thoma Bravo today at a special meeting of stockholders. Preliminary results showed that 88.4% of votes cast, representing 78.8% of the voting power of Dayforce's outstanding voting stock as of the record date, voted in favor of the approval of the acquisition. The transaction is expected to close in late 2025 or early 2026. Under the terms of the merger agreement with Thoma Bravo, Dayforce stockholders will receive $70.00 per share in cash.
Dayforce announces Q3 adjusted EPS of 37 cents, falling short of consensus estimate of 55 cents.

As previously announced, on August 20, Dayforce entered into a merger agreement under which certain affiliates of Thoma Bravo will acquire Dayforce for $70.00 in cash per share of Dayforce common stock for a total enterprise value of approximately $12.3B, and Dayforce will become a privately-held company. Dayforce expects to complete the transaction in late 2025 or early 2026, subject to fulfillment of customary closing conditions, including approval of Dayforce stockholders and receipt of required regulatory approvals. In light of the pending Thoma Bravo transaction, Dayforce will not be providing forward-looking guidance or updates to previously issued guidance and will not host an earnings conference call or webcast for its Q3 results and does not expect to do so for any future quarters.
