Arrive AI Cuts 20% Workforce to Save $1.5M
Arrive AI announced a strategic recalibration of its workforce and operating model as the Company moves ahead of schedule toward a leaner, more focused and increasingly AI-enabled organization. The actions are expected to generate approximately $1.5M in annualized cost savings while aligning the Company's resources more closely with its current strategic and commercialization priorities. As part of the initiative, on August 14, Arrive AI reduced its total workforce by approximately 20%. In connection with the reduction, unvested restricted stock units representing approximately 450,000 shares of the Company's common stock were forfeited and returned to the Company. The company said, "Management views the changes as an evolution of Arrive AI's operating model rather than simply a cost-cutting exercise. During its earlier stages of development, Arrive AI hired rapidly against a staffing model designed around the capabilities, positions and functions management believed would be required to build the Company's technology, intellectual property, platform and go-to-market strategy. As the business evolved, management gained significantly greater clarity around its mission, priorities and the capabilities required for the Company's next phase."
Arrive AI Amends Financing Agreement, Resolves $962,500 Cash Repayment Requirement
Arrive AI announced an amendment to its financing agreement with Streeterville Capital that the Company believes resolves a previously triggered $962,500 mandatory monthly cash repayment requirement and provides the Company with increased financial and operating flexibility. In connection with the new promissory note, the applicable floor price has been reduced from $0.25 to $0.10 per share. This addresses the repayment requirement that arose after the Company's volume-weighted average share price fell below the previous $0.25 floor by lowering the VWAP threshold applicable to that obligation, and allows Arrive AI to move forward without the associated mandatory monthly cash repayment obligation. The agreement was reached on August 14, 2026, in connection with Streeterville's purchase of a new unsecured promissory note in the amount of $108,000. The reduced Streeterville floor price is separate from Nasdaq's minimum bid price requirement. Arrive AI remains focused on executing its business strategy and working toward regaining compliance with Nasdaq's $1.00 minimum bid price requirement.

Arrive AI appointed Piyush Phadke as its new CFO, effective August 17, succeeding Todd Pepmeier. Phadke brings a proven track record as a public-company CFO, built on more than two decades of capital markets experience, including senior roles at Bank of America, BTIG, and Jefferies before moving into executive finance leadership.

Arrive AI Signs Letter of Intent with LifeSpan Pharmacy
Arrive AI signed a letter of intent with LifeSpan Pharmacy, an Indianapolis-based pharmacy provider, to explore a collaborative program to develop and deploy an autonomous, drone-based pharmacy delivery network. Under the terms of the LOI, the parties intend to pursue a phased approach. The initial phase is expected to include a live demonstration flight from LifeSpan Pharmacy's facility to a nearby recipient, delivering actual pharmaceuticals and validating the delivery corridor. Subsequent phases, subject to mutual agreement, would progress through pilot corridor buildout, expansion across priority delivery zones, and potential full deployment supporting on-demand, autonomous pharmacy delivery across LifeSpan's service area.
