Huntington Bancshares and Veritex Receive Merger Approval
Huntington Bancshares (HBAN) and Veritex Holdings (VBTX) jointly announced that the Board of Governors of the Federal Reserve System and the Office of the Comptroller of the Currency have approved the proposed merger of Veritex with and into Huntington, with Huntington continuing as the surviving corporation, and the merger of Veritex Community Bank, with and into The Huntington National Bank. All required regulatory approvals to complete the Huntington-Veritex transaction have now been received and the transaction is expected to be completed on October 20, 2025, subject to the satisfaction or waiver of the remaining customary closing conditions set forth in the merger agreement between Huntington and Veritex. Veritex shareholder approval was received at the Veritex special meeting of shareholders on September 22, 2025.

Huntington Bancshares to acquire Veritex for $33.91 per share, or $1.9B
Huntington Bancshares (HBAN) and Veritex Holdings (VBTX) announced entry into a definitive merger agreement, and Huntington announced preliminary second quarter results. Under the terms of the agreement, Huntington will issue 1.95 shares for each outstanding share of Veritex in a 100% stock transaction. Based on Huntington's closing price of $17.39 as of July 11, 2025, the consideration implies $33.91 per Veritex share or an aggregate transaction value of $1.9B. The transaction is expected to be modestly accretive to Huntington's earnings per share, neutral to regulatory capital at close, and slightly dilutive to tangible book value per share with payback in approximately one year inclusive of merger expenses and CECL double count.
