OSRH CEO Confirms Subsidiaries' Technologies Received Inquiries
CEO Peter Hwang said, in part, "Today marks five business days before August 18, the practical deadline by which the Nasdaq is expected to communicate its determination regarding OSRH's continued listing if our stock price has not regained the minimum bid price requirement of $1.00 per share as of the market close. As CEO of OSRH, I want to assure our shareholders that I remain deeply confident in the fundamental value we are building across our Company and its subsidiaries. I also want to share an important development with the market. Without disclosing confidential information or identifying the parties involved at this stage, I can confirm that two of our subsidiaries have received inbound inquiries regarding potential out-licensing opportunities for their technologies and products. Of the two, one is at the preliminary term sheet negotiation phase while the other is in early stage. I believe both of these represent meaningful validation of the value of the intellectual property and businesses that we have worked so hard to develop. I fully understand the significance of making this statement as the CEO of a Nasdaq-listed public company. I am making it because I believe our shareholders deserve to know that meaningful business developments are taking place behind the scenes. Time will tell, and I believe that time will tell sooner rather than later... There is still uncertainty ahead, and I will not make promises about outcomes that are not yet within our control. OSR Health Subsidiary Vaximm Completes Analysis of VXM01 Clinical Studies
OSR Health announced that its subsidiary Vaximm has completed the analysis of results from two clinical studies evaluating VXM01, an oral DNA vaccine targeting the vascular endothelial growth factor receptor 2, in patients with recurrent glioblastoma. Prof. Wolfgang Wick, M.D., Chairman of the Neurology Clinic of Heidelberg University and the principal investigator of these trials, commented that "these results are indeed encouraging with regard to moving this concept further in the clinic." The Company intends to submit these findings to a peer-reviewed scientific journal and is expected to announce further top-line results soon, including the direction of future clinical development of VXM01 and its platform.

We are seeing increasing external validation of the technologies and platforms being developed by our subsidiaries. Vaximm recently executed a definitive licensing agreement for the VXM01 immunotherapy platform, one of the most significant transactions in the Company's history. At Woori IO, development activities and strategic engagements involving global industry participants, including Samsung, continue to advance our noninvasive glucose monitoring platform. Across our portfolio, we are focused on transforming scientific innovation into commercial opportunities and long-term shareholder value. As a holding company, our responsibility is to continually evaluate how best to unlock the value of our underlying businesses for the benefit of shareholders. Public markets have repeatedly demonstrated that significant value can be created through thoughtful capital allocation, strategic partnerships, subsidiary monetizations, spin-offs, and other corporate actions that allow investors to participate more directly in the success of underlying assets. OSR Holdings Acquires VAXIMM AG IP for $30M
OSR Holdings announced it has entered into a definitive Asset Purchase Agreement with VAXIMM AG to acquire the full global intellectual property portfolio and related assets for an aggregate purchase price of $30M. The acquisition follows OSRH's previously announced definitive global exclusive license agreement with BCM Europe for VXM01, which includes up to $815M in milestone payments tied to the development and commercialization of the program.
OSR Holdings Enters Exclusive License Agreement with BCM Europe for VXM01
OSR Holdings entered into a definitive global exclusive license agreement with BCM Europe for the development, commercialization, and potential sublicensing of VXM01, its Phase 3-ready oral immunotherapy targeting VEGFR-2. The Agreement builds on the previously disclosed binding term sheet and establishes a structured framework to advance VXM01, with alignment across OSRH, its largest shareholder BCME, and public shareholders. BCME receives an exclusive global license to develop, manufacture, commercialize, and sublicense VXM01. OSRH to receive up to $815M in milestone payments tied to clinical, regulatory, and commercial achievements. OSRH to acquire full VXM01 IP from Vaximm AG under a $30M asset purchase agreement. OSRH to receive 100% of downstream royalties after BCME recovers its investment and preferred return. BCME and affiliates pledge 100% of their OSRH shares as collateral for milestone obligations; Governing Law: Switzerland. BCME is the Company's largest shareholder. Accordingly, the Agreement constitutes a related party transaction and was approved by the Board, including independent directors, following consideration of an independent fairness opinion provided by Avance Life Sciences. Under a separate Pledge Agreement, BCME and affiliates have pledged their entire unencumbered shareholding in OSRH, representing approximately 29.7% as of the signing date, as collateral for the performance of milestone payment obligations of up to $815M. BCME will actively support development of VXM01 and at the same time engage leading global pharmaceutical partners to secure a sublicensing transaction. With economic returns dependent on downstream monetization and its entire OSRH stake pledged as collateral, BCME is structurally incentivized to advance VXM01 and execute a competitive partnering process focused on maximizing value for OSRH shareholders. The Agreement also includes a put option under which OSRH may require BCME to purchase up to $15M of OSRH common stock at a price of $10.00 per share, exercisable no earlier than six months following the effective date.
