NKGen Biotech Appoints Bruce Miller to Scientific Advisory Board
NKGen Biotech announced the appointment of Bruce Miller, M.D. to its Scientific Advisory Board. Miller is the A.W. and Mary Margaret Clausen Distinguished Professor in Neurology at the University of California, San Francisco where he directs the Edward and Pearl Fein Memory and Aging Center and is the founding director of the Global Brain Health Institute.
NKGen Korea Appoints Four New Board Members
NKGen Korea, formerly NKMax Co., recently completed a shareholder-approved name change on November 21, 2025. On this date, NKGen Korea also announced through its official KOSDAQ disclosures the appointment of three new members to its Board of Directors: Hanhan Xu, Xuan Zhang, and Dr. June Lee each for a three-year term. Earlier, on August 14, 2025, Dr. Angie You was appointed to the NKGen Korea Board for a one-year term. You is CEO and Co-Founder of Architect Therapeutics; Xu is Managing Director, AlpineBrook Capital Group; Zhang is Operating Director, AlpineBrook Capital Group; Lee is former Chief Development Officer and COO of MyoKardia. "We welcome the addition of Dr. Angie You, Ms. Hanhan Xu, Ms. Xuan Zhang, and Dr. June Lee to the NKGen Korea Board," said Paul Song, CEO. "These appointments were made by the NKGen Korea Board, and as the majority shareholder, we fully support them. Each director brings a proven track record of building successful companies, along with deep operational and strategic expertise. NKGen Biotech Offers Clarification Regarding Quotation Display and Trading Status
NKGen Biotech issued the following statement in response to recent shareholder inquiries regarding its current trading status on the OTC Expert Market and the display of a $0.00 common stock, $0.0001 par value per share, price on certain financial websites. The appearance of a $0.00 Common Stock price does not reflect the actual value of the Company or its Common Stock. This figure results from the limitations on public quote dissemination associated with securities traded on the OTC Expert Market, and not from any change in the Company's underlying fundamentals or business operations. As previously disclosed in the Company's Form 8-K filed on July 16, 2025, the Company received notice on July 14, 2025 from OTC Markets Group that due to the Company's failure to meet the requirement to stay current in its filings under the Securities Exchange Act of 1934, as amended, as required under the continued listing requirements of the OTC Pink Open Market, and the expiration of the grace period granted thereunder to post such filings, quotations in the Company's shares of Common Stock were moved to the OTC Expert Market on or about July 17, 2025. The OTC Expert Market is a quotation venue for securities of companies that are not current in their public disclosures. Due to regulatory restrictions, price quotes and trading data are not available to retail investors on most financial platforms. Only broker-dealers and institutional investors have access to real-time quote information, which is why some financial websites display a $0.00 price of our Common Stock. It is important to note that the Company's Common Stock is not delisted. The Company's Common Stock is still tradable and listed, but because current financial information is not available, the OTC has restricted public price quotes. Instead, pricing information is now accessible only to brokers and market makers. This action ensures some level of market transparency even while the Company's filings are being completed. Investors can still buy or sell the Company's Common Stock but should consult with their brokers for the most up-to-date pricing and trading information. Despite these current restrictions, the Company remains fully operational and is actively working to regain compliance with the reporting obligations under the Exchange Act. On October 8, 2025, the Company filed its Form 10-K for the year ended December 31, 2024. The Company is now focused on completing and filing its Form 10-Qs for the quarters ended March 31, June 30, and September 30, 2025, as part of its plan to become current as soon as possible with the Exchange Act's reporting obligations.
NKGen Biotech confirms successful acquisition of NKMax
NKGen Biotech announced the successful completion of its acquisition of a majority equity stake in NKMax, a Korean biotechnology company, out of bankruptcy. "This acquisition marks a transformative step for NKGen, granting full control over key global manufacturing infrastructure, intellectual property and exclusive commercialization rights, while solidifying the Company's position as an independent and vertically integrated leader in NK cell therapeutics," the company said.
NKGen Biotech presents troculeucel mechanism of action
NKGen Biotech announced the presentation of a poster entitled, "Mechanism of Action of Troculeucel in Alzheimer's Disease Confirmed by Corresponding Phase I Biomarker Data" at the Alzheimer's Association International Conference 2025, AAIC 2025, held in Toronto, Canada and online from July 27-31, 2025. Troculeucel is a first-in-kind, autologous, non-genetically modified NK cell product with significantly increased cytotoxicity and over 90% activating receptor expression that can be consistently produced from any donor. Preclinical and clinical trial data on the effect of troculeucel from two Phase 1 studies were presented to highlight the mechanism of action and confirmatory biomarker data from 13 patients with Alzheimer's disease. Troculeucel was found to exhibit over 99% DNAM-1 and NKG2D expression, by which NK cells recognize and engage autoreactive T cells while sparing resting T cells, which do not express these ligands. In vitro studies demonstrated that troculeucel was selectively activated in the presence of activated T cells, as evidenced by increased interferon-gamma production, elevated cytotoxicity, and enhanced CD107a expression. These findings suggest that troculeucel may reduce neuroinflammation by preferentially eliminating autoreactive T cells while preserving non-pathogenic resting T cells.
