Glacier Bancorp Finalizes Purchase of Guaranty Bancshares
Glacier Bancorp (GBCI) announced the completion of its acquisition of Guaranty Bancshares (GNTY), the bank holding company for Guaranty Bank & Trust, N.A., a community bank headquartered in Mount Pleasant, Texas. A new division, "Guaranty Bank & Trust, Division of Glacier Bank" will be formed and operate through 33 banking locations across 26 Texas communities located within the East Texas, Dallas/Fort Worth, Houston, Bryan/College Station and Austin markets. As of June 30, 2025, Guaranty had total assets of $3.1 billion, total loans of $2.1 billion and total deposits of $2.7 billion.
Guaranty Bancshares announces $2.30 per share special dividend and approves merger plans.
Guaranty Bancshares "announced that its Board of Directors has declared a special cash dividend on its common stock in the amount of $2.30 per share of common stock. The Special Dividend will be paid on September 23, 2025, to shareholders of record as of the close of business on September 19, 2025. The Special Dividend is being paid in connection with the previously announced Plan and Agreement of Merger, dated as of June 24, 2025 , by and among the Company, the Bank, Glacier Bancorp, Inc. and its wholly owned subsidiary, Glacier Bank, pursuant to which, subject to the satisfaction or waiver of certain conditions set forth in the Merger Agreement, the Company will merge with and into GBCI, with GBCI surviving the Merger."

Reports Q2 tangible book value per share $26.29. Reports Q2 net charge-offs .05%. "We are pleased with our second quarter results and continue to see good improvements to net income. Earnings were strong at $10.0 million, which increased $2.6 million from the second quarter of 2024, and was driven primarily from the improvement in net interest margin from 3.26% in the prior year second quarter to 3.71% in the second quarter of 2025. Both our core deposits and loan levels are stable and grew slightly during the period. Asset quality remains strong, as nonperforming assets to total assets is only 0.33% at the end of the quarter. Liquidity and capital both remain at high levels," said Ty Abston, the company's chairman and CEO.
Glacier Bancorp to acquire Guaranty Bancshares in $476.2M all-stock transaction
Glacier Bancorp (GBCI) and Guaranty Bancshares (GNTY) jointly announced the signing of a definitive agreement, pursuant to which Glacier will acquire Guaranty in an all-stock transaction. As of March 31, 2025, Guaranty had total assets of $3.2B, total gross loans of $2.1B and total deposits of $2.7B. The boards of Glacier and Guaranty unanimously approved the transaction, which is subject to regulatory approvals, Guaranty shareholder approval, and other customary conditions of closing. The definitive agreement provides that upon closing of the transaction, Guaranty shareholders are to receive one share of Glacier stock for each Guaranty share. Based on the closing price of $41.58 for Glacier shares on June 23, the transaction would result in aggregate consideration of $476.2M and value of $41.58 per Guaranty share. Upon closing of the transaction, which is anticipated to take place in the fourth quarter of 2025, Guaranty Bank & Trust will operate as a new banking division under the name "Guaranty Bank & Trust, Division of Glacier Bank," representing Glacier's eighteenth separate bank division.

Earnings increased $2.0 million from the first quarter of 2024, while net interest margin continued to improve, increasing from 3.16% in the prior year first quarter to 3.70% in the first quarter of 2025. Our core deposits are stable and grew slightly during the period. Asset quality remains strong, as nonperforming assets to total assets is only 0.15% at the end of the quarter. Both liquidity and capital remain at high levels. We continued to improve shareholder value through repurchases of Company stock during the quarter and we increased our quarterly dividend from $0.24 in the prior quarter to $0.25 in the current quarter. There is certainly volatility in the markets right now, but so far we're not seeing any material negative impacts on our projections and modeling of results for the year for our Company," said Ty Abston, the company's chairman and CEO.
