VivoPower Officially Terminates F-3 Registration Statement
VivoPower announced that it has formally terminated its Form F-3 registration statement, originally dated December 23. Effective immediately, the F-3 Registration Statement is no longer available to the Company, and no further sales of ordinary shares will be made pursuant to that filing. This decision underscores the Board's commitment to a non-dilutive capital strategy and reflects management's confidence in the Company's current and projected cash flow from operations and alternative potential non dilutive funding sources.
VivoPower International Changes Name to VivoPower PLC, Ticker to VIVO
VivoPower International announced that effective today, before the open of trading on the Nasdaq stock market, its stock will be traded under the new ticker "VIVO". The Company has also officially completed its corporate name change to VivoPower PLC. Both the ticker and name change reflect the Company's strategic focus on building, owning, and leasing powered land and data center infrastructure for AI compute applications. The name change does not affect the rights of shareholders, and no action is required from current shareholders. VivoPower's core scope remains the provision of land, power, and real-estate infrastructure, while technology and operations remain under the domain of the lessor. The Company aggregates the scarcest input in the data center value chain-power-secured land-and monetizes these assets through long-term, bankable lease contracts with sovereign nations, hyperscalers, neocloud players, and other tenants.

VivoPower Completes $30M Strategic Private Investment
VivoPower International completed a $30M strategic private investment in public equity. The PIPE is in the form of convertible preference shares with a $6.80 per share conversion price and a 6% annual PIK coupon. Investors include leading technology and infrastructure investors, including New York-based investment group Blue Sky Capital. BSC is widely recognized as an early investor in AI data centers globally. In addition, leading sovereign family offices in the GCC region participated in the PIPE, as did VivoPower Chairman Kevin Chin. The PIPE investment, structured as convertible preference shares, is priced at $6.80 per share with a 6% annual PIK coupon to reflect long-term alignment with VivoPower's Sovereign AI strategy. This premium is driven by the conviction that the Company's expansion into AI infrastructure for sovereign nations and hyperscalers will unlock significant value creation. Proceeds will be primarily deployed to scale the Company's high-performance AI data center portfolio and for general working capital purposes.
VivoPower Signs Agreement with Kweather, Secures $4.3M in Shares
VivoPower International PLC confirms that it has completed a definitive agreement with Kweather Co., Ltd, a KOSDAQ-listed company, which would involve KWeather acquiring the economic rights to some of VivoPower's holdings in Ripple Lab shares, with VivoPower securing 20% of KWeather shares worth $4.3M. The balance of the Ripple Labs shares held by VivoPower will be acquired by Lean Ventures of South Korea pursuant to a definitive partnership agreement that was announced in December 2025. This provides the mechanism for VivoPower to strategically exit its digital asset holdings. VivoPower will not be acquiring any further digital assets on its balance sheet and confirms that it has not incurred aggregate realized or unrealized losses on its digital asset positions. VivoPower confirms that Ripple Labs share transactions with its partners, KWeather and Lean Ventures, will be conducted at market value and will be in accordance with the Ripple Labs approval process. VivoPower will continue to focus its capital and resources on scaling up its data center infrastructure business.
