MidWestOne announces Q3 adjusted EPS of 87 cents, surpassing consensus estimate of 82 cents.

Return on average assets reached 1.09%, driven by solid loan and deposit growth, expanded noninterest income and disciplined expense management. Three years ago, we dedicated ourselves to building a pre-eminent Commercial & Industrial ("C&I") bank in the lower middle to middle market space within our geographic footprint. That objective continues to bear fruit with year over year C&I loan growth of 10.9%, noninterest bearing deposit balances up 4.4% and treasury management revenues climbing at low double-digit rates. In addition, our complementary wealth management business, driven by talent and client acquisition and broad market gains, increased noninterest income 19.0% from the prior year."
Nicolet Bankshares to purchase MidWestOne in a stock-only deal
Nicolet Bankshares (NIC) and MidWestOne (MOFG) jointly announced the execution of a definitive merger agreement pursuant to which Nicolet will acquire MidWestOne and its wholly-owned banking subsidiary, MidWestOne Bank. Based on the financial results as of September 30, the combined company will have pro forma total assets of $15.3B, deposits of $13.1B, and loans of $11.3 billion. Upon closing of the transaction, Nicolet will have more than 110 branches, as well as loan production offices, across the Upper Midwest, Denver, Colorado and Naples, Florida, among other areas. Under the terms of the Agreement, which has been unanimously approved by the board of directors of both companies, Nicolet will exchange shares of its common stock for all of the outstanding shares of MidWestOne common stock, in an all-stock transaction. MidWestOne shareholders will be entitled to receive 0.3175 of a share of Nicolet common stock for each share of MidWestOne common stock they own upon the effective time of the merger, for aggregate merger consideration valued at approximately $864M, or $41.37 per share, based on Nicolet's closing stock price of $130.31 as of October 22. The transaction values MidWestOne at a price to tangible book value per share of 166% and a price to mean analyst estimated 2026 earnings per share of 11.5 times. Upon completion of the merger, the shares issued to MidWestOne shareholders are expected to comprise 30% of the outstanding shares of the combined company. Excluding certain merger-related charges, the transaction, with cost savings fully phased in, is anticipated to be approximately 37% accretive to 2026 earnings, and mildly dilutive to tangible book value per share with a negligible earnback period. The merger is subject to a number of customary conditions, including the approvals of the appropriate regulatory authorities and approvals by the shareholders of both Nicolet and MidWestOne. It is expected that the transaction should be completed during the first half of 2026. Upon completion of the merger, it is expected the combined company's board of directors will be comprised of eight members of Nicolet's board of directors, including Mike Daniels, and four members of MidWestOne's current board of directors. In connection with the execution of the agreement, all of the directors and named executive officers of MidWestOne and Nicolet have entered into support agreements pursuant to which they have agreed to vote their shares in favor of the merger.

Reports Q1 tangible book value per share $23.36. Reports Q1 CET1 capital ratio 10.97%. Charles Reeves, CEO of the Company, commented, "We are pleased with the continued execution of our strategic plan initiatives despite a more uncertain economic environment. Our return on average assets eclipsed 1% for the second straight quarter driven by disciplined balance sheet management, core net interest margin expansion of 10 bps2 and solid expense control. Loan growth was flat in the quarter, somewhat softer than anticipated, due to pay-offs and latter quarter market volatility. The majority of our asset quality metrics improved significantly, led by reductions in nonperforming assets and criticized loans. Net charge-offs increased to 29 basis points, with the majority of the increase due to a partial charge-off on a previously reserved CRE loan as we prepare for resolution. Driven by earnings and lower accumulated other comprehensive loss, tangible book value per share increased 4.4% to $23.362 and the CET1 ratio grew to 10.97%, edging closer to our target range of 11.0%-11.50%.

Return on average assets eclipsed the 1.0% threshold, driven by significant expansion of our net interest margin, thus net interest income. Our core deposit franchise expanded, with noninterest bearing deposits increasing for the second consecutive quarter, reflecting our Treasury Management initiatives and strong branch network. Our Wealth Management focus, including our Investment Services and Private Wealth teams, continues to bear fruit as revenue increased 16% year-over-year. In addition, asset quality metrics improved from the third quarter, as the classified loans ratio improved 54 bps and the charge-off ratio was only 0.06%."
